The proceeds of the Issue were primarily utilised to part-finance the acquisition of a 28.99% stake in HL Mando Anand India Private Limited. Citibank, N.A. and Hongkong and Shanghai Banking Corporation (HSBC) acted as arrangers to the Issue.
The transaction comprises of a secondary acquisition of shares from the Promoters and Tata Capital Healthcare Fund II and, a primary subscription to shares proposed to be issued by the Target Company.
The transaction involved a unique pre-closing restructuring exercise, wherein Carmel Point India Investments Limited, a wholly owned special purpose vehicle of CPIL, underwent voluntary liquidation, followed by an in specie distribution of its assets, including its shareholding in IndiaFirst Life Insurance Company Limited, to its parent entity as a condition precedent to the proposed acquisition.
