Cyril Amarchand Mangaldas (“CAM”) represented Dhampur Bio Organics Limited on the proposed transfer of its Meerganj Unit located in Uttar Pradesh to Forever Global Enterprises Limited by way of a slump sale on a going concern basis. The transaction is proposed to be undertaken pursuant to a Business Transfer Agreement and ancillary documents. We advised on the structure for the transaction, including drafting and negotiating of the BTA and ancillary documents as well as advising on necessary compliances for the transaction.
