Tata Communications Limited | Acquisition of Kaleyra Inc.
Khaitan & Co advised Tata Communications Limited in relation to acquisition of 100% of the shares of Kaleyra Inc. for USD 113 million and the assumption of all outstanding debt.
The Firm was involved in the following:
- Acting as legal counsel to Tata Communications Limited for the overall transaction (including negotiating, drafting, and reviewing of definitive agreements);
- Conducting legal due diligence on Solutions Infini Technologies (India) Private Limited, a wholly owned subsidiary of Kaleyra SPA;
- Advising on aspects relating to structure and layering of the subsidiaries; and
- Assisting with corporate compliances and execution of the transaction along with other ancillary documents.
The transaction team was led by Sharad Abhyankar (Partner), Bhavya Bhankharia (Principal Associate), and Murugaveni Pillai (Senior Associate), with assistance from the following:
Moin Ladha (Partner) and Tanish Prabhakar (Associate) on the FEMA related aspects; and
