CAM represented Carpediem Capital Partners Fund II (the “Investor”), a Category II Alternative Investment Fund acting through its fund manager Carpediem Advisors Private Limited, on its investment into IIRM Holdings India Limited (the “Company”), a public listed company whose shares are listed on the BSE Limited and which is engaged, together with its subsidiary India Insure Risk Management and Insurance Broking Services Private Limited, in the business of consultancy/advisory services and insurance broker services.
The transaction is structured as a preferential allotment, whereby the Investor has agreed to subscribe to equity shares and convertible warrants of the Company.
CAM advised on structuring the transaction and on drafting and finalising the transaction documents, including the corporate secretarial documents.
