SAM advises Megha Engineering & Infrastructures

Shardul Amarchand Mangaldas (SAM) advised Megha Engineering & Infrastructures Limited (MEIL) on the formation of a 50:50 joint venture with Analog SPV RSC Ltd. (Analog), an Abu Dhabi-based pioneer in physical intelligence (Pi) technology. The joint venture will establish and operate a new company to deploy and support Analog’s physical intelligence technology for intelligent infrastructure solutions in India.

The joint venture combines MEIL’s expertise in large-scale infrastructure execution with Analog’s intelligent sensing and infrastructure optimisation capabilities. The company will deploy Analog’s Pi platform across applications including smart urban infrastructure, mobility, industrial operations and public safety, supporting India’s growing intelligent infrastructure ecosystem.

SAM acted as legal counsel to the MEIL Group and advised on the structuring of the joint venture, as well as the drafting, negotiation and finalisation of the joint venture agreement, shareholders’ agreement and related transaction documents.
