Mumbai | April 29, 2026: Shardul Amarchand Mangaldas & Co. (SAM) acted as legal counsel to the Flipkart group in connection with its strategic re-domiciliation from Singapore to India through a complex cross-border merger.
The transaction involved an internal group restructuring pursuant to which multiple Singapore-incorporated holding entities of the Flipkart group were merged with and into Flipkart Internet Private Limited, the group’s Indian entity, through a scheme of arrangement approved by the National Company Law Tribunal (NCLT) and relevant authorities in Singapore.
This reverse flip represents one of the largest and most complex re-domiciliation transactions in India’s corporate landscape. The transaction was executed through a two-step inbound cross-border merger, requiring parallel regulatory approvals and coordination across multiple jurisdictions.
