Cyril Amarchand Mangaldas advised Dixon Technologies (India) Limited (“Dixon“) in relation to the acquisition of 51% shareholding by Dixon in Kunshan Q Tech Microelectronics (India) Limited (“Q Tech India”) by way of a combination of primary and secondary investment, for the purposes of collaboration in manufacturing, sale and distribution of camera and fingerprint modules for mobile handsets, internet of things, systems and automotive applications (“Transaction”).
The Transaction involved undertaking legal due diligence on Q Tech India and execution of the transaction documents – the share subscription & purchase agreement and the shareholders’ agreement. Upon the consummation of the Transaction, Dixon holds 51% shareholding and Q Technology (Singapore) Private Limited holds 49% shareholding in Q Tech India.
