Cyril Amarchand Mangaldas (“CAM“) acted as the legal counsel to Amphenol Corporation (“Acquirer“) in connection with the mandatory open offer made to the public shareholders of ADC India Communications Limited, an Indian public company with its equity shares listed on BSE Limited (“Target Company“) in terms of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011(SAST Regulations) pursuant to the Acquirer acquiring the right to direct the exercise of ~72% of the voting rights in and control over the Target Company.
The Acquirer, as part of a global acquisition of the connectivity and cable solutions business of Vistance Networks, Inc. (formerly known as CommScope Holding Company, Inc.) (“Seller”), had executed a purchase agreement with the Seller to purchase inter alia 100% of the equity interests of CommScope Technologies LLC, thereby acquiring 100% of the equity interests of two Indian target entities, one of which is a public listed entity (the Transaction).
