Singh of the Delhi High Court; Mr. Arvind Datar, Senior Advocate; and Mr. Deepak Bagla, Director, Atal Innovation Mission. The discussion was moderated by Dr. Sanjeev Gemawat, Managing Director and Group General Counsel, Essar Group, and Co-founder, GCAI.

The deliberations were structured around two interconnected themes: The Vision — Balancing Economic Growth and Social Justice and From Vision to Action — Priorities for Legal and Institutional Reform.

Judicial Independence, Constitutional Balance and Institutional Accountability

An important dimension of the dialogue was the relationship between judicial independence, constitutional governance and the respective roles of the three organs of the State.

Solicitor General Mr. Tushar Mehta observed that an independent judge does not necessarily mean a judge who is perpetually opposed to the executive or the legislature. Emphasising the constitutional roles of the three organs of the State, he underlined that judicial independence must be understood in the context of constitutional boundaries, institutional responsibilities and the rule of law.

The discussion explored the importance of an independent judiciary in protecting fundamental rights and ensuring constitutional accountability, while recognising that policy formulation is primarily the responsibility of the elected executive and legislature. The deliberations highlighted that institutional independence and constructive engagement are complementary requirements of a mature constitutional democracy.

Legal Certainty as an Essential Foundation for Economic Growth

A central theme emerging from the dialogue was the direct relationship between the quality of the legal ecosystem and India’s economic ambitions.

As India aspires to become a USD 35 trillion economy, its requirements for capital, technology, innovation and global partnerships will increasingly transcend domestic resources. Attracting foreign investment and technology requires an environment characterised by stability, certainty, predictability, consistency in regulatory decision-making and effective enforcement of contractual and commercial rights.

The participants deliberated on the need for a legal system that facilitates economic activity while safeguarding constitutional rights, environmental sustainability, livelihoods and social justice. The discussion also addressed the increasing globalisation of Indian enterprises and the need for greater convergence between Indian commercial jurisprudence and internationally accepted legal and commercial practices.

Modernising Commercial Laws and Strengthening Judicial Institutions

Mr. Arvind Datar highlighted structural shortcomings in India’s commercial justice delivery system, particularly the functioning of tribunals. He drew attention to the disproportionate burden of insolvency proceedings on the National Company Law Tribunal (NCLT), affecting the timely adjudication of ordinary company law matters. He advocated reconsideration of the allocation of company law jurisdiction between the NCLT and High Courts, stronger institutional independence of tribunals, specialised appointments and longer tenures.

The discussion also highlighted how delays and the high cost of litigation can make the enforcement of legitimate commercial claims economically unviable, particularly for smaller businesses and MSMEs. The participants emphasised the need to modernise commercial and contractual jurisprudence, including the law relating to damages and indemnity, to ensure greater clarity and predictability.

Innovation, Investment and the Future of India’s Legal Institutions

Mr. Deepak Bagla highlighted the importance of institutional credibility, judicial independence and regulatory consistency in attracting domestic and foreign investment. He also drew attention to the challenges arising from inconsistent regulatory approvals across States, which can create uncertainty for investors and businesses.

Justice Prathiba M. Singh brought the judicial perspective to the discussion on India’s evolving legal and economic landscape, including challenges arising from technological advancements, intellectual property, taxation and the need for greater legal certainty in the digital economy. The dialogue further explored technology-enabled justice delivery, effective implementation of laws and reduction of avoidable litigation.

Dr. Sanjeev Gemawat: “Law Must Become an Enabler of India’s Economic Transformation”

Dr. Sanjeev Gemawat, Co-founder, GCAI, and Managing Director and Group General Counsel, Essar Group, said:

“India’s aspiration to become a developed economy by 2047 cannot be realised through economic growth and infrastructure creation alone. It requires equally strong legal and institutional foundations. Just as roads, ports and logistics networks provide physical infrastructure for the movement of goods and people, a predictable, efficient and globally competitive legal system provides the institutional infrastructure for the movement of capital, technology, innovation and enterprise.

As Indian businesses expand globally and international capital and technology become increasingly important to our growth, our legal framework must inspire confidence through certainty, consistency and effective enforcement of rights and obligations.

We must also recognise that India is a common law jurisdiction with an extensive body of codified legislation. There is a compelling need to modernise certain areas of commercial law, including damages and indemnity, and ensure that our jurisprudence keeps pace with contemporary commercial realities and international developments.

The dialogue reinforced the importance of constructive institutional engagement, where judicial independence, executive accountability and legislative responsibility complement each other. The objective must be a legal ecosystem that protects constitutional values while enabling economic transformation.”

Dr. Akhil Prasad: “Reimagining the Legal Ecosystem Is Integral to Viksit Bharat”

Dr. Akhil Prasad, Co-founder, GCAI, said:

“Viksit Bharat @2047 calls for a fundamental reimagining of our legal and judicial ecosystem. The strength of a democracy lies not merely in the independence of its institutions but also in their ability to work within their constitutional mandates and deliver outcomes that inspire public confidence.

We need to move beyond a system that is predominantly reactive and litigation-driven towards one that is accessible, efficient, responsive and capable of resolving disputes in a timely manner. This requires institutional reforms, stronger tribunals, modern commercial laws, effective alternative dispute resolution mechanisms and consistent implementation of judicial decisions.

Economic progress and social justice are not competing objectives. A robust legal framework must facilitate investment, enterprise and innovation while ensuring the protection of individual rights and constitutional guarantees.

GCAI remains committed to bringing together policymakers, members of the judiciary, legal practitioners and corporate leaders to develop actionable recommendations for strengthening India’s legal foundations. Our endeavour through the Nyaya Nirmaan initiative is to contribute constructively to this national agenda.”

Ms. Payal Chawla: “Collaborative Efforts Can Shape the Future of India’s Legal Ecosystem”

Ms. Payal Chawla, Founder, JusContractus; Alumna, University of Chicago; and Director, Nani Palkhivala Arbitration Centre (NPAC), said:

“The collaboration between the General Counsels’ Association of India (GCAI), Columbia University and the Nani Palkhivala Arbitration Centre (NPAC) presents an important opportunity to bring together diverse perspectives, institutional expertise and global experience to contribute to the strengthening of India’s legal ecosystem.

Through this collaboration, we intend to work together on identifying and advancing meaningful legal and judicial reforms, drawing upon comparative international practices and India’s evolving economic and institutional requirements. Our focus will be on developing practical recommendations that promote greater certainty in commercial laws, strengthen the dispute resolution framework, improve access to justice and enhance the efficiency of legal institutions.

I believe that sustained engagement between academic institutions, professional bodies and dispute resolution institutions can help bridge the gap between legal thought and implementation. Together, we hope to contribute to a forward-looking reform agenda that supports India’s aspirations of becoming a developed nation by 2047.”

Towards an Actionable Legal Reform Agenda

The dialogue reaffirmed that India’s journey towards Viksit Bharat @2047 requires a legal ecosystem that is independent, efficient, accessible, commercially responsive and internationally competitive. The deliberations highlighted the following priorities:

Strengthening judicial independence and institutional accountability while respecting constitutional boundaries and the separation of powers.

Modernising commercial laws, particularly the law relating to damages, indemnity and contractual remedies.

Strengthening tribunals through institutional reforms, specialised appointments and greater independence.

Reducing avoidable litigation, delays and the cost of dispute resolution.

Promoting mediation, institutional arbitration and other effective alternative dispute resolution mechanisms.

Ensuring greater consistency in regulatory decision-making and effective implementation of judicial decisions.

Leveraging technology to improve access to justice and the efficiency of judicial institutions.

Enhancing the international competitiveness of India’s legal framework in response to the growing global footprint of Indian enterprises.

The deliberations form part of GCAI’s continuing Nyaya Nirmaan initiative — Reimagining India’s Legal Foundations for Viksit Bharat @2047, which seeks to translate dialogue, collective wisdom and stakeholder engagement into practical recommendations for legal and institutional reforms.

<p
