“Privilege exists to protect the administration of justice—not to reward a particular category of lawyers.”<\/p>\n

One of the recurring objections to recognising in-house lawyers concerns legal professional privilege. It is argued that because an in-house lawyer is an employee, communications with that lawyer should receive lesser protection than communications with an external advocate. This argument misunderstands the very purpose of legal privilege.<\/p>\n

Privilege exists for clients. Legal professional privilege was never created for lawyers. It exists for clients. The law protects confidential legal advice because society benefits when individuals and organisations seek candid legal guidance before acting. Without confidentiality, clients may hesitate to disclose facts. Lawyers cannot advise effectively without full disclosure. Ultimately, compliance with the law suffers. Privilege therefore promotes—not obstructs—the administration of justice.<\/p>\n

Employment does not destroy professional independence<\/p>\n

The central assumption behind the criticism is that salaried lawyers cannot exercise independent judgment. Experience demonstrates precisely the opposite. General Counsel routinely advise Boards against unlawful decisions. They stop transactions, escalate compliance concerns, conduct investigations, recommend voluntary disclosures, and advise against regulatory breaches. Many of the most difficult ethical decisions in modern commerce are made inside corporate legal departments. Professional independence depends upon ethics and regulation—not the source of remuneration.<\/p>\n

Global jurisdictions have already moved forward<\/p>\n

Most developed legal systems recognise that in-house lawyers perform genuine legal work. Their regulatory frameworks increasingly focus on professional qualification, ethical obligations and the dominant purpose of legal communications—not merely employment status. India’s legal framework should similarly evolve. The objective should not be to create blanket immunity. Rather, it should provide clear rules governing when communications with professionally qualified and regulated in-house lawyers deserve protection. Clarity promotes compliance, uncertainty discourages early legal consultation, and recognition strengthens accountability.<\/p>\n

Ironically, denying professional recognition to in-house lawyers weakens rather than strengthens accountability. If these lawyers remain fully regulated by the Bar, they become subject to common ethical standards, disciplinary oversight and continuing legal education. Professional obligations become stronger—not weaker. Recognition therefore improves both governance and compliance.<\/p>\n

Privilege is about the Rule of Law<\/p>\n

The debate ultimately is not about corporate convenience. It concerns the administration of justice itself. India’s largest companies increasingly navigate international investigations, cross-border transactions, sanctions regimes, cybersecurity incidents and complex regulatory frameworks. They require candid legal advice from professionally qualified lawyers. A legal system that encourages organisations to consult lawyers early promotes compliance, prevents disputes, and reduces litigation. That serves the public interest.<\/p>\n

The law should therefore ask one simple question — Was this legal advice given by a professionally qualified lawyer acting in a legal capacity? If the answer is yes, the source of remuneration should not determine whether the communication deserves legal protection. Privilege follows legal advice, not payroll.<\/p>\n

Modern economies recognise this principle.<\/p>\n

India should too.<\/p>\n<\/div>\n\n
