On 10 July 2026, the Securities and Exchange Board of India (SEBI) notified the SEBI (Listing Obligations and Disclosure Requirements) (Second Amendment) Regulations, 2026<\/span>, introducing changes relating to the transfer and transmission of securities by listed entities.<\/p>\n

The revised Regulations came into force on 10 July 2026.<\/p>\n

Key Points:<\/p>\n

    \n
  1. \n

    The Regulations amend the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015<\/a><\/span> (LODR Regulations).<\/p>\n<\/li>\n

  2. \n

    Regulation 40(7)<\/span> now requires listed entities to follow the procedures relating to transfer and transmission of securities as specified by SEBI from time to time.<\/p>\n<\/li>\n

  3. \n

    Regulation 61(4)<\/span> has been revised to replace the reference to procedures contained in Schedule VII with procedures specified by SEBI from time to time.<\/p>\n<\/li>\n

  4. \n

    Clause C of Schedule VII<\/span> has been removed from the LODR Regulations.<\/p>\n<\/li>\n

  5. \n

    The amendments move the procedural framework for transfer and transmission of securities out of Schedule VII and allow SEBI to specify and update these requirements from time to time.<\/p>\n<\/li>\n<\/ol>\n
