Please introduce yourself to our readers.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">I am Himanshu Goswami, a lawyer by profession and a graduate of the Campus Law Centre, University of Delhi. I have been practising law ever since completing my legal education, with extensive experience spanning both in-house legal leadership and private practice.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">Over the course of my career, I have held several senior leadership positions across leading multinational and Indian organisations. I served as the Head of Legal and General Counsel at DLF Limited, India&#8217;s largest real estate developer. Before that, I held senior legal leadership roles at Aricent Global and Microsoft. For the last six years, I was the Co-Founder and Partner of Goswami and Nigam LLP, where I have advised clients across diverse sectors, including new age tech, semiconductors, real estate, fintech, banking, automotive, defence, etc. on regulatory compliance, legal structuring, transactions and fund raise. I have since wound up the firm and transitioned to a new legal entity, H&amp;P Law Associates, which marks next phase of our professional journey and growth.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">2. What originally prompted you to choose law as a profession? Given the demanding nature of transactional practice, how do you consciously maintain work-life balance and avoid professional burnout?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">Law came into my life by accident. I was initially pursuing Chartered Accountancy, and during the course of my studies I was introduced to company law for the first time. As I began studying the subject, I discovered a genuine interest in law, and that curiosity gradually evolved into a passion. Eventually, I decided to leave Chartered Accountancy and pursue law full-time, as it aligned closely with my personal ethos and way of thinking. I thoroughly enjoyed studying law, and even today, I continue to enjoy the practice of it with the same enthusiasm and commitment. This was a decision I have never looked back on since.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">As far as work-life balance is concerned, the legal profession can be extremely demanding. There are times when there is only work and less personal time. However, when you are truly passionate about what you do, your work becomes an integral part of your life rather than a burden, and passion makes the long hours worthwhile. At the same time, one must consciously try to make time for personal commitments and family. The legal profession demands immense dedication, discipline, and perseverance, but it is also deeply rewarding for those who genuinely love the practice of law.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">3. How would you trace the trajectory of your professional journey from your formative years in legal practice to assuming leadership roles within multinational corporations and identify the pivotal moments that fundamentally shaped your growth as a lawyer and strategic advisor?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">So, when I stepped into this profession, there were limited career options, either join a Senior Advocate in litigation or work at a law firm, since in-house legal roles were still uncommon outside public sector undertakings. I chose the safer route and joined Anand &amp; Anand, where I was introduced to intellectual property law. However, that experience also made me realise that I did not want to super-specialise too early in my career.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">Soon after, there came a pivotal moment in my career, when I realised that I cannot restrict myself as a lawyer so I plunged head on into private practice with a couple of friends and focused on criminal and civil litigation and spent nearly 10-12 years doing the same. Those years taught me the realities of the profession, from appearing in courts and handling procedural work, to dealing with clients and learning through trial and error. It was a trial by fire, and I started learning the profession the hard way. During this time, I was introduced to Microsoft, and eventually got an opportunity to handle their (<span style=\"background-color: #ffffff;\">intellectual property<\/span>) IP practice for Southeast Asia. That marked a major shift in my career and introduced me to the corporate legal world. Over the next decade, I held senior leadership positions, eventually becoming a Senior Vice-President Head Legal at DLF. After working for approximately eight years in an in-house leadership role, there came a stage when I realised that if I wanted to continue growing as a lawyer and take on more dynamic challenges, I needed to return to active practice. That decision eventually led me back into private practice and the entrepreneurial journey of building my own firm. Looking back, these transitions became the defining turning points of my professional life.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">4. You mentioned your transition from IP law to corporate practice. As law students, we are often encouraged to focus on specialising in a particular domain. In your experience, should one focus on specialisng in a particular field during our college years, or is it more beneficial to explore diverse areas of law before choosing a domain?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">Whenever law students intern with us, my consistent advice to them is, do not restrict yourself too early in your career unless there is a major compulsion. Ideally, the first five years should be spent in litigation because courtroom exposure teaches you how the law is actually applied. Unless you learn that you would not be able to do justice to your clients, and to the profession. So super specialisation might be one of the biggest mistakes a young lawyer can make at the initial stage of their career, unless they are crystal clear that they would like to end up there.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">Take, for example a typical <span style=\"background-color: #ffffff;\">mergers and acquisitions<\/span> (M&amp;A) transaction. One can learn how to draft a share purchase agreement, but if I were your client and asked that there is a call option in the agreement that I have been advised to agree to, so please guide how would it turn out if the opposite party refuses to honour it, what would be my rights in court, and is this even enforceable? Similarly, there are agreements that include non-compete clauses for 24 months after a founder exits. However, under Indian law, such restrictions are often not enforceable as they may amount to an unreasonable restraint of trade. Unless a young lawyer understands this from experience, there is a real risk of giving incomplete or incorrect advice to the client. That is why I believe specialisation should not come too early. The first five years of a lawyer&#8217;s career should be spent building strong general experience, ideally through litigation. Specialisation should come later, once you have a solid understanding of how law works in the real world.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">5. What inspired you to establish your own law firm? What are the principles you have always followed, and as a first generation lawyer, what shaped your resilience and leadership philosophy?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">It is not a bed of roses. This profession requires patience, perseverance, and hard work. I have always lived by two mantras, which have always helped me, and something I can never compromise upon. The first one being, no matter what the situation is, always be honest with your client, even if your case is weak, do not sugarcoat it. Clearly explain the position, along with your strategy, and let the client take an informed call, as this builds long-term trust. The second principle that I have followed is to know that the client&#8217;s timelines\/deadlines are sacrosanct. Consistent discipline and commitment to deadlines are non-negotiable in this profession. Be honest and be committed, do that, and you will never fail. As for setting up my own firm, it came from a desire for independence and growth. Even as a partner or in-house counsel, you ultimately work within a defined structure. I wanted the freedom to build and work in emerging areas like AI and crypto, where the law is still evolving. That kind of constant reinvention is only possible when you are building on your own terms.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">Being a first generation lawyer, there are few essential things by which I have been shaped and it comes down to a few simple but important habits. First and foremost is reading, and there is no substitute for it, not just legal texts, but newspapers and general reading. As a lawyer, you never know what kind of client or matter you will deal with, so staying informed helps you understand different businesses and contexts better. <span style=\"font-style: italic;\">Secondly<\/span>, I strongly believe in avoiding shortcuts; one cannot build a lasting legal career on copy paste work or over-reliance on AI tools. Technology can indeed assist in research, but drafting and legal thinking must be developed personally through consistent effort. <span style=\"font-style: italic;\">Thirdly<\/span>, communication skills are important and play a vital role. Clear written and verbal expression is essential in court and with clients, and it improves only with practice and conscious effort. All of these, coupled with honesty and integrity helps you thrive and helps builds a strong personality<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">6. Between power, principle, and profitability, which has tested you the most in your career, and how did you resolve that internal negotiation?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">In my professional journey, integrity has always come first, and nothing can make me compromise on that principle. I firmly believe that the day we realise no single individual truly holds all the power, we begin to grow professionally and personally. We all function within a symbiotic ecosystem where collaboration, trust, and mutual support are essential for success. Profitability is, of course, important at the end of the day, everyone has responsibilities and bills to pay. But I strongly believe that one should never chase money alone. The moment money becomes the sole objective; there is always a risk of losing direction. Instead, young professionals should focus on gaining knowledge, building integrity, and creating opportunities to do meaningful and high-quality work, stay true to your values, success and financial rewards will eventually follow. The journey may sometimes take longer than expected, but your due will come. At the end of the day, what matters most is being able to look at yourself in the mirror and genuinely feel proud of the person and professional you have become.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">7. In synthesising doctrinal rigour with transactional realities, how have your cross-domain experiences in corporate, regulatory, and real estate practice yielded three enduring principles of legal practice?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">A principle that has guided me through, and holds an overarching bearing on the way I have approached transactions or litigation, and when the need arises to harmonise the requirements of the two, is the principle of natural justice. As lawyers, there are often situations where legal, ethical, or moral dilemmas arise, whether because of a client&#8217;s conduct, the actions of the opposing party, or even the absence of supporting evidence. In such moments, I have found that if your arguments and approach are rooted in fairness, equity, and natural justice, courts in a common law jurisdiction like India often give significant weight to those considerations, sometimes even beyond the strict letter of the law. For example, under Order <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001523643\" target=\"_blank\">8 Rule 10<\/a>, <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002726944\" target=\"_blank\">Civil Procedure Code, 1908<\/a>, the right to file a written statement can be struck off if it is not filed within the prescribed period that is 90 days, I have argued matters where I have sought leave of the court to file the written statement past such timeline, and in instances the court was pleased to allow it because denying the defendant that opportunity would have caused irreparable harm. The argument was based not merely on procedure, but on the broader principles of fairness and the right to be heard. I have carried the same philosophy into contract negotiations as well. Whenever negotiations reach a deadlock, instead of relying only on rigid contractual positions, I often encourage parties to look at what is fair, reasonable, and commercially workable for both sides. In my experience, appealing to fairness and mutuality often resolves disputes more effectively than aggressively insisting on technical provisions. For me, therefore, natural justice is not just a legal principle; it is more of a professional philosophy that influences how I approach advocacy, negotiations, and decision-making as a lawyer, which overrides everything.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">8. As one of the very few Indian lawyers licensed to practice in Dubai, what motivated you to pursue a dual qualification? What regulatory, professional, and cultural challenges did you encounter while establishing yourself in a foreign jurisdiction?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">One of the key motivating factors for me was the nature of the work I was already doing. I handled a significant number of transactions that had a UAE component to it, and noticed a growing trend of Indian businesses expanding into the Middle East and Africa. Interestingly, most African expansions were being routed through Middle Eastern entities rather than directly from India. The primary reason was taxation; many jurisdictions in the Middle East, particularly the UAE, offered highly tax-efficient structures. Through this exposure, I began to see a clear opportunity, so instead of referring clients to lawyers in the UAE, I thought of becoming the lawyer clients could directly approach for UAE-related legal work. So, I spent nearly four years working as a legal consultant to understand the market, the regulatory environment, and client needs. After that, I applied for accreditation with both the applicable legal jurisdictions in Dubai viz the Dubai Legal Affairs Department (DLAD), which operates under a civil law framework, and the Dubai International Financial Centre (DIFC), an independent common law jurisdiction within the UAE. The accreditation process itself took about a year, but today I am a DLAD-accredited legal practitioner, a distinction held by very few independent Indian lawyers. I am also accredited before the DIFC Wills and Probate Courts, which gives me rights of audience before the DIFC Probate Courts as well.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">About the challenges I faced, the biggest one I faced was cultural. The way the market operates in the UAE is very different from how it operates in India. In the UAE, you are essentially dealing with two distinct sets of clients. One consists of expatriate clients, that is, the Indians, Americans, British, and other European clients, and the other consists of local Emirati clients. Each group requires a very different approach because of the cultural differences in communication, relationship-building, and business practices. When you work in a foreign jurisdiction, the first thing you must do is learn to understand and respect the local culture. You have to adapt and operate in accordance with that culture rather than expecting the market to function the way it does back home. That was probably the biggest learning curve for me, and it took time to truly understand it. For example, in the UAE, when you first meet a potential client, it is often considered impolite to immediately start discussing business. The emphasis is first on building a personal connection. You spend time getting to know each other as people before moving into commercial discussions. It may take two or three meetings before business is even discussed seriously. That is very different from India or from dealing with many US-based clients, where conversations tend to become transactional quite quickly. Over time, I developed a great deal of respect for this culture as it brings a deeply human element into business relationships. Trust is built before the commercial aspect comes into play, and once that trust is established, it often lasts for life. I think it is a beautiful way of doing business and simply requires patience and a genuine investment in relationships.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">9. Real estate law today operates at the intersection of regulation, finance, and infrastructure. In your experience, what is the most critical legal risk developers and investors underestimate, particularly in light of evolving regulatory frameworks such as RERA?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">One of the most common mistakes I see builders make in the real estate sector is assuming that their projects will automatically sell and planning their cash flows on those assumptions. Since the implementation of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002840159\" target=\"_blank\">Real Estate (Regulation and Development) Act, 2016<\/a> (RERA), 70 per cent of the funds received from buyers must remain in an escrow account, which has made cash flow management far more challenging, especially for smaller and newer developers.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">Large brands like DLF usually do not face this issue because selling inventory is easier for them due to established market trust. However, smaller builders often struggle with liquidity, project timelines, and compliance requirements. RERA authorities and consumer forums have also become extremely strict about delays, escrow withdrawals, and regulatory violations. As a result, timely project delivery and disciplined financial management are among the biggest challenges builders face in the real estate sector today.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">10. What would you advice your 22-year-old self, about building a global career, if he were a client?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">There are two things I would like to put emphasis upon. First, whenever you are looking to enter a new jurisdiction, take time to truly understand it, not just the regulations, but also the culture and the way business is conducted there. One of the biggest mistakes I have seen businesses make, especially after working across multiple jurisdictions myself, is applying a &#8220;one-size-fits-all&#8221; approach to different countries. It simply does not work. We are heavily influenced by Western ways of working, and while certain models may work in the West, they may not necessarily work in India, Southeast Asia, or the Middle East. Every market has its own cultural and commercial dynamics. If you do not understand the softer aspects of a jurisdiction, how people build trust, negotiate, and form relationships, you might struggle. Second, never assume that money will come in just because it has been promised. Before implementing any business plan, make sure your next six months of cash flow or financing requirements are already secured. I have personally made the mistake of relying on expected funding, and I learned from it the hard way. The saying &#8220;a bird in hand is worth two in the bush&#8221; is absolutely true in business. Unless the money is actually sitting in your account, you do not have it. Always plan your business on the basis of the money you currently have, not the money you expect to receive in the future.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">Apart from that, make physical activity a part of your daily routine, even if it is just 30 minutes to an hour a day. Any form of exercise is one of the best stress relievers possible. Go outdoors, get some sunlight, exercise regularly, or simply maintain a fitness routine. A strong physical regimen helps you cope with the mental and professional pressures that entrepreneurship inevitably brings.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">11. Could you share a memorable anecdote from your career that has stayed with you till date and continues to influence your perspective or approach towards the profession?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">I still remember the first day I officially became a lawyer. During law school, I had the privilege of being taught criminal law by Professor Dhar, whom I consider one of the finest educators of our time. I had immense respect for him. The day I received my law degree, I went to seek his blessings and asked him for one piece of advice before stepping into the real world. He told me, &#8220;Whatever you have learned over the last three years, unlearn it. Practical law is very different from theoretical law. What we taught you was only to build a foundation and teach you how to think like a lawyer. Real learning begins when you step into practice.&#8221; That advice has stayed with me throughout my career because it perfectly captures the difference between studying law and actually practicing it.<\/p>\n<p style=\"margin-left: 18pt; text-indent: -18pt; font-weight: bold; color: #000080;\">12. What key skills should law students prioritise to navigate the commercial realities of the profession, and what advice would you give to students who feel uncertain about their career path or struggle to identify their true strengths and interests within the legal field?<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">I would strongly encourage every law student to develop a basic understanding of finance and commercial transactions. Skills such as reading balance sheets, understanding profit and loss (P&amp;L) statements, and having basic knowledge of taxation are extremely valuable for lawyers today. Whether you go into litigation or corporate advisory, most areas of law are closely connected to business and money. If you understand how finance operates, you can bring far greater value to your clients. That is why I would always advise students to take electives related to corporate finance, taxation, or management during law school. Many people think these subjects have little to do with law, but in reality, they are deeply connected to the legal profession.<\/p>\n<p style=\"margin-left: 18pt; margin-bottom: 3%;\">For me, once I discovered law during my Chartered Accountancy studies, I was absolutely certain that this was what I wanted to do. I genuinely love the subject and the study of law, so it has never felt like work to me, it has always been my passion. Because of that, I never really faced the dilemma of choosing another career. I did pursue an MBA as well, but only to strengthen my understanding of finance and transactions, since a large part of my work involves financial matters. It was meant to complement my legal practice, not to move into management. So, summing this up I truly believe that if you love what you do, you will never regret your decision. Success may come early or late, but if you are passionate and give your best, it eventually follows.
