June 2026, the <span style=\"font-weight: bold;\">Securities and Exchange Board of India<\/span> (SEBI) issued a circular granting additional time to Merchant Bankers (MBs) for complying with key regulatory requirements introduced under the <a href=\"http:\/\/www.scconline.com\/DocumentLink\/Por3j3MH\" target=\"_blank\" rel=\"noopener\"><span class=\"Hyperlink\"><span style=\"font-weight: bold;\">SEBI (Merchant Bankers) (Amendment) Regulations, 2025<\/span>.<\/span><\/a><\/p>\n<h2>Key Highlights:<\/h2>\n<ol style=\"list-style-type: decimal;\">\n<li>SEBI has extended the compliance timelines in response to representations from the industry highlighting challenges in implementing the <span style=\"font-weight: bold;\">Separate Business Unit<\/span> (SBU) framework and aligning compliance milestones with the financial year-end.<\/li>\n<li>The requirement to transfer permitted activities to SBUs, along with compliance with <a href=\"http:\/\/www.scconline.com\/DocumentLink\/8SuR4P27\" target=\"_blank\" rel=\"noopener\">SEBI circular<\/a> dated <span style=\"font-weight: bold;\">2 January 2026<\/span>, must now be completed by <span style=\"font-weight: bold;\">31 December 2026<\/span>, instead of <span style=\"font-weight: bold;\">3 July 2026<\/span>.<\/li>\n<li>Compliance with the revised net worth requirements has been rescheduled as follows:\n<ul style=\"list-style-type: disc;\">\n<li>Phase <span style=\"font-weight: bold;\">I<\/span> \u2014 <span style=\"font-weight: bold;\">31 March 2027<\/span> (earlier 2 January 2027)<\/li>\n<li>Phase <span style=\"font-weight: bold;\">II<\/span> \u2014 <span style=\"font-weight: bold;\">31 March 2028<\/span> (earlier 2 January 2028)<\/li>\n<\/ul>\n<\/li>\n<li>Compliance with the revised liquid net worth requirements has been rescheduled as follows:\n<ul style=\"list-style-type: disc;\">\n<li>Phase <span style=\"font-weight: bold;\">I<\/span> \u2014 <span style=\"font-weight: bold;\">31 March 2027<\/span><\/li>\n<li>Phase <span style=\"font-weight: bold;\">II<\/span> \u2014 <span style=\"font-weight: bold;\">31 March 2028<\/span><\/li>\n<\/ul>\n<\/li>\n<li>The deadline for intimation to SEBI regarding categorisation as a Category I or Category II Merchant Banker has been extended to <span style=\"font-weight: bold;\">31 March 2027<\/span>.<\/li>\n<li>\n<p style=\"margin-bottom: 3%;\">Other provisions of the <span style=\"font-weight: bold;\">SEBI circular dated 2 January 2026<\/span> remain unchanged and
