Independent Director"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\">On 13 May 2026, the <span style=\"font-weight: bold;\">Insolvency and Bankruptcy Board of India<\/span> notified the <span style=\"font-weight: bold;\">Insolvency and Bankruptcy Board of India (Model Bye-Laws and Governing Board of Insolvency Professional Agencies) (Amendment) Regulations, 2026<\/span> to amend the <a href=\"http:\/\/www.scconline.com\/DocumentLink\/BA2e3ZvZ\" target=\"_blank\"><span class=\"Hyperlink\" style=\"font-weight: bold;\"><span style=\"color: #000000;\">Insolvency and Bankruptcy Board of India (Model Bye- Laws and Governing Board of Insolvency Professional Agencies) Regulations, 2016<\/span><\/span><\/a>.<\/p>\n<p style=\"margin-bottom: 3%;\">The provisions came into force on 13 May 2026.<\/p>\n<h3>Effect of Amendment:<\/h3>\n<p style=\"margin-bottom: 3%;\">The amendment mainly revises the <span style=\"font-weight: bold;\">&#8220;Composition of Governing Board&#8221;<\/span> discussed under Regulation 5 and <span style=\"font-weight: bold;\">&#8220;Managing Director&#8217;s Appointment Process&#8221;<\/span> discussed under Regulation 5-A of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002844021\" target=\"_blank\">IBBI (Model Bye- Laws and Governing Board of Insolvency Professional Agencies) Regulations, 2016<\/a>.<\/p>\n<h3>Revision in &#8220;Composition of Governing Board- Nominee Director&#8221;:<\/h3>\n<ol style=\"list-style-type: decimal;\">\n<li>\n<p>Now, the Board will also consist of a <span style=\"font-weight: bold;\">&#8220;Nominee Director&#8221;<\/span>.<\/p>\n<\/li>\n<li>\n<p>The inclusion of a <span style=\"font-weight: bold;\">Nominee Director will not change the minimum limit of other directors<\/span> (Managing Director, Independent Directors, Shareholder Directors) required to form a Board, i.e. 7 directors.<\/p>\n<\/li>\n<li>\n<p style=\"margin-bottom: 3%;\">The Nominee Director will have the same rights, duties, powers, and responsibilities as all other directors of the governing Board.<\/p>\n<\/li>\n<\/ol>\n<h3>Revision in provisions relating to &#8220;Independent Director&#8221;:<\/h3>\n<ol style=\"list-style-type: decimal;\">\n<li>\n<p>Apart from other <span style=\"font-weight: bold;\">requirements to be an Independent Director<\/span><span style=\"Times New Roman&quot;;\"><\/span>, the following eligibility restrictions have been added:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>He cannot be a member of any statutory regulator that has sponsored or promoted the insolvency professional agency.<\/p>\n<\/li>\n<li>\n<p>He cannot hold shares\/ exercise control over such an insolvency professional agency.<\/p>\n<\/li>\n<li>\n<p>He cannot be an Independent Director of any other insolvency professional agency.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p style=\"margin-bottom: 3%;\">An individual can serve as an Independent Director for up to 2 terms of 3 years each (or part of a term), or until they turn 75 years, whichever comes earlier. <span style=\"Times New Roman&quot;;\"><br \/><\/span>Although, <span style=\"font-weight: bold;\">the 2<span style=\"vertical-align: super;\">nd<\/span> term will be subject<\/span> to a satisfactory performance review of the 1<span style=\"vertical-align: super;\">st<\/span> term by the Governing Board and prior approval of the Board.<\/p>\n<\/li>\n<\/ol>\n<h3>Revision in provisions relating to &#8220;Managing Director&#8221;:<\/h3>\n<p style=\"margin-bottom: 3%;\">For appointment\/ renewal of the Managing Director, the insolvency professional agency will have to forward at least 2 names to the Board, 1 month prior to the expiry of the tenure of the existing Managing Director.<\/p>\n<h3>Read More:<\/h3>\n<p style=\"font-weight: bold;\"><a href=\"https:\/\/www.scconline.com\/blog\/post\/2026\/04\/07\/insolvency-bankruptcy-code-amendment-act-2026-explained\/\" target=\"_blank\">From Withdrawal to Creditor Control: Key Shifts under the IBC Amendment Act, 2026<\/a><\/p>\n<p style=\"margin-bottom: 3%;
