Compliance in IFSCA India"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\">On 5 May 2026, the <span style=\"font-weight: bold;\">International Financial Services Centres Authority<\/span> issued <span style=\"font-weight: bold;\">International Financial Services Centres Authority (TechFin and Ancillary Services) (Amendment) Regulations, 2026<\/span> to amend the <span style=\"font-weight: bold;\"><a href=\"http:\/\/www.scconline.com\/DocumentLink\/cVne22QJ\" target=\"_blank\">International Financial Services Centres Authority (TechFin and Ancillary Services) Regulations, 2025<\/a>.<\/span><\/p>\n<h2>New Chapter relating to Trust and Company Services Provider has been introduced:<\/h2>\n<ol style=\"list-style-type: decimal;\">\n<li>\n<p>The <span style=\"font-weight: bold;\">definition of &#8220;Trust and Company Services Provider or TCSP&#8221;<\/span> has been introduced which means an entity which has been granted registration as Tech Fin and Ancillary Services Provider under these regulations to undertake Trust and Company Services Provider services for leasing activities permitted by the Authority.<\/p>\n<\/li>\n<li>\n<p><span style=\"font-weight: bold;\">Registration is mandatory<\/span> hence if any entity wants to provide for Trust and Company Services in <span style=\"font-weight: bold;\">International Financial Services Centres Authority (&#8216;Authority&#8217;)<\/span>, for permitting leasing activities, it should get a registration certificate from the Authority.<\/p>\n<\/li>\n<li>\n<p>The <span style=\"font-weight: bold;\">Registration Certificate<\/span> will be valid until suspended\/ cancelled by authority, or voluntarily surrendered by entity.<\/p>\n<\/li>\n<li>\n<p>Only properly formed entities in IFSC with promoters from countries that are not listed by the <span style=\"font-weight: bold;\">Financial Action Task Force<\/span> as high- risk can apply.<\/p>\n<\/li>\n<li>\n<p style=\"font-weight: bold;\">Governance and Control:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>Every Trust should have a governing body which provides a governance framework.<\/p>\n<\/li>\n<li>\n<p>There will be an <span style=\"font-weight: bold;\">internal audit or review system<\/span> to check if controls and governance are proper or not.<\/p>\n<\/li>\n<li>\n<p>The provider will have to maintain proper and updated <span style=\"font-weight: bold;\">records<\/span> of clients and entities, key persons, legal documents, and services provided.<\/p>\n<\/li>\n<li>\n<p>These records should be easily available for inspection and should be kept for at least 5 years after the relationship ends.<\/p>\n<\/li>\n<li>\n<p>Leasing-related services should be run as a separate, well-resourced business unit.<\/p>\n<\/li>\n<li>\n<p>Work must be divided so that no single person controls everything.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p>Any financial reporting by the Trust and Company Services Provider to the Authority will be in the US Dollar.<\/p>\n<\/li>\n<li>\n<p>In case the rules are broken, the Authority can suspend or cancel the registration.<\/p>\n<\/li>\n<li>\n<p>The <span style=\"font-weight: bold;\">Fifth Schedule (Permissible Limits)<\/span> has been introduced relating to &#8220;A Trust and Company Services Provider may undertake one or more of the following services for leasing activities permitted by the Authority&#8221;:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>acting as an agent for setting up trusts, companies, limited liability partnerships or any other body corporate;<\/p>\n<\/li>\n<li>\n<p>acting as or arranging for another person, as the case may be, to act as:<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">&#10003; trustee, in case of express trust or performing the equivalent function for any other type of trust;<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">&#10003; a director or company secretary or a nominee shareholder, in case of a company;<\/p>\n<p style=\"margin-left: 36pt;
