{"id":374487,"date":"2026-02-03T10:00:13","date_gmt":"2026-02-03T04:30:13","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=374487"},"modified":"2026-02-03T10:01:07","modified_gmt":"2026-02-03T04:31:07","slug":"cam-lenders-counsel-rolta-india-cirp-financing","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2026\/02\/03\/cam-lenders-counsel-rolta-india-cirp-financing\/","title":{"rendered":"CAM Acts as Lenders&#8217; Counsel on INR 550 Crore Rolta India CIRP Financing"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\">Cyril Amarchand Mangaldas (&#8220;CAM&#8221;) acted as the lenders&#8217; legal counsel in connection with financing facilities aggregating up to INR 550 Crores extended to the corporate debtor i.e., Rolta India Limited (<span style=\"font-weight: bold;\">Borrower<\/span>), a company undergoing corporate insolvency resolution process (<span style=\"font-weight: bold;\">CIRP<\/span>) under the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002802178\" target=\"_blank\">Insolvency and Bankruptcy Code, 2016<\/a>.<\/p>\n<p style=\"margin-bottom: 3%;\">A resolution plan was submitted by Ashdan Properties Private Limited and was approved by the committee of creditors of the Borrower, and subsequently by the National Company Law Tribunal, Mumbai Bench-I <span style=\"font-style: italic;\">vide<\/span> its order dated December 15, 2025.<\/p>\n<p style=\"margin-bottom: 3%;\">The financing enabled the implementation of the approved resolution plan by facilitating part payment and discharging the Borrower&#8217;s creditors, in accordance with the terms of the resolution plan.<\/p>\n<p style=\"margin-bottom: 3%;\">Notably, the financing was directly availed by the Borrower while undergoing CIRP. Pursuant to implementation of the resolution plan on 16<span style=\"font-style: italic;\">th<\/span> January 2026 and completion of acquisition of 100% shareholding and management control, the Borrower is now owned by an entity jointly backed by a Welspun Group entity and Ashdan Properties Private Limited.<\/p>\n<p style=\"margin-bottom: 3%;\">The transaction was led by <span style=\"font-weight: bold;\">Pururaj Bhar<\/span>, <span style=\"font-style: italic;\">Partner;<\/span> with support from <span style=\"font-weight: bold;\">Sohrab Kharadi<\/span>, <span style=\"font-style: italic;\">Principal Associate;<\/span><span style=\"font-weight: bold;\"> Ayush Chowdhury<\/span>, <span style=\"font-style: italic;\">Senior Associate;
