On 20-1-2026, the Securities and Exchange Board of India (‘SEBI’) notified the SEBI (Issue and Listing of Non-Convertible Securities) (Amendment) Regulations, 2026<\/span>, aim to strengthen the corporate debt framework by recognising retail investors and enabling issuers to extend specified pricing incentives.<\/p>\n

Key Points:<\/h3>\n

  1. \n

    These Regulations aim to strengthen the SEBI (Issue and Listing of Non-Convertible Securities) Regulations, 2021<\/a><\/span>, under the powers conferred upon SEBI by Section 30(1)<\/a> of the SEBI Act, 1992<\/a>.<\/span><\/p>\n<\/li>\n

  2. \n

    Key changes include the introduction of the term ‘retail individual investor<\/span>’ which refers to an individual who applies or bids for debt securities for a value of not more than rupees 2 lakhs<\/span>.<\/p>\n<\/li>\n

  3. \n

    By setting a clear 2 Lakh threshold, SEBI has:<\/p>\n

      \n
    • \n

      Brought greater regulatory clarity and uniformity,<\/p>\n<\/li>\n

    • \n

      Enabled issuers to design issue structures specifically tailored for retail investors, and<\/p>\n<\/li>\n

    • \n

      Facilitated the introduction of targeted benefits without undermining market integrity.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

    • \n

      Under the revised Regulation 31<\/span>, issuers are now expressly permitted to provide incentives by way of additional interest or discounted issue pricing to specified categories of investors.<\/p>\n<\/li>\n

    • \n

      The categories eligible for these incentives include:<\/p>\n

      • \n

        Senior citizens,<\/p>\n<\/li>\n

      • \n

        Women,<\/p>\n<\/li>\n

      • \n

        Serving and retired defence personnel,<\/p>\n<\/li>\n

      • \n

        Widows and widowers of defence personnel,<\/p>\n<\/li>\n

      • \n

        Retail individual investors, and<\/p>\n<\/li>\n

      • \n
