On 5-12-2025, the Ministry of Road Transport & Highways has announced that Securities and Exchange Board of India<\/span> (‘SEBI’) has granted in-principle<\/span> approval to register the Highways Infra Investment Trust (‘RIIT’) as an Infrastructure Investment Trust (‘InvIT’).<\/p>\n

This step marks a significant step toward monetising National Highways assets and creating long-term investment opportunities for domestic and retail investors.<\/p>\n

Key highlights:<\/h3>\n
    \n
  1. \n

    The InvIT framework is designed to unlock the earning potential of National Highways<\/span> while offering investors a safe and transparent avenue for participation in infrastructure development.<\/p>\n<\/li>\n

  2. \n

    To secure final registration, RIIT must meet specific conditions within the next 6 months, including:<\/p>\n

      \n
    • \n

      Appointment of directors.<\/p>\n<\/li>\n

    • \n

      Submission of requisite financial statements.<\/p>\n<\/li>\n

    • \n

      Compliance with SEBI’s regulatory requirements.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

    • \n

      NHAI has inducted Highway Infra Investment Managers Private Limited<\/span> (RIMPL) as the investment manager of RIIT. RIMPL is a collaborative venture with equity stakes from major financial institutions such as:<\/p>\n

        Punjab National Bank<\/p>\n<\/li>\n

        Bajaj Finserv Ventures Limited<\/p>\n<\/li>\n

        HDFC Bank<\/p>\n<\/li>\n

        ICICI Bank<\/p>\n<\/li>\n

        IDBI Bank<\/p>\n<\/li>\n

      • \n

        IndusInd Bank<\/p>\n<\/li>\n

        Yes Bank<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

        NHAI has already monetised assets worth ₹48,995 crore<\/span> through the Toll-Operate-Transfer (ToT) model and raised around ₹43,638 crore<\/span> in four rounds of private InvITs, attracting both domestic and international investors.<\/p>\n<\/li>\n

        The public InvIT framework, fully compliant with SEBI’s regulations, will ensure:<\/p>\n
