On 21-11-2025, the Securities Exchange Board of India (SEBI) notified the SEBI (Depositories and Participants) (3rd<\/span> Amendment) Regulations, 2025, introducing new roles and responsibilities for officials to strengthen governance and risk management in depositories.<\/p>\n

These amendments are set to come into force on 21-12-2025<\/span><\/span>.<\/p>\n

Key Points of SEBI Depositories and Participants 3rd Amendment Regulations 2025:<\/h3>\n
    \n
  1. \n

    This Amendment revises the SEBI (Depositories and Participants) Regulations, 2018.<\/p>\n<\/li>\n

  2. \n

    The Amendments, represent a significant step in modernizing the regulatory framework for depositories and enhancing accountability in India’s securities market.<\/p>\n<\/li>\n

  3. \n

    The amendment aims to:<\/p>\n

      \n
    • \n

      Enhance corporate governance<\/span> in depositories.<\/p>\n<\/li>\n

    • \n

      Strengthen risk management and operational resilience<\/span>.<\/p>\n<\/li>\n

    • \n

      Introduce technology and cybersecurity leadership roles<\/span>.<\/p>\n<\/li>\n

    • \n

      Ensure that depositories operate in public interest<\/span>, not revenue-driven objectives.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

    • \n

      This Amendment revises the Board Composition under Regulation 24 by expanding the governance framework to “executive directors.”<\/p>\n<\/li>\n

    • \n

      In Regulation 26, the roles and responsibilities<\/span> of Managing Director<\/span> (‘MD’) is expanded. He will:<\/p>\n

        \n
      • \n

        Manage the entire affairs of the depository.<\/p>\n<\/li>\n

      • \n

        Ensure compliance with all applicable laws, rules, and SEBI directions.<\/p>\n<\/li>\n

      • \n

        Oversee risk management and infrastructure adequacy.<\/p>\n<\/li>\n

      • \n

        Can hold certain non-executive positions<\/span> with prior approval of the governing board.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

      • \n

        Under the newly inserted Regulation 26A<\/span>, every depository is mandated to appoint:<\/p>\n

          \n
        • \n

          Two Executive Directors as key management personnel:<\/p>\n

          ○ Vertical 1 Head — Responsible for infrastructure and systems.<\/p>\n

          ○ Vertical 2 Head — Responsible for risk management.<\/p>\n<\/li>\n

        • \n

          Optionally, an executive director for Vertical 3.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

        • \n

          It clearly defines the appointment process, tenure, and age limits aligned with those of the MD.<\/p>\n<\/li>\n

        • \n

          Executive directors are not allowed to serve on external boards, except subsidiaries with prior approval.<\/p>\n<\/li>\n

        • \n

          Appointment of Chief Technology Officer<\/span> (CTO) is mandated by introducing Regulation 81B, to oversee technology systems, infrastructure, and IT risk management. Their responsibilities include:<\/p>\n

            Managing IT risks,<\/p>\n<\/li>\n

          • \n

            Formulating IT policy and risk framework,<\/p>\n<\/li>\n

          • \n

            Addressing technology audit observations.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

            Regulation 81C is inserted mandating the appointment of Chief Information Security Officer<\/span> (CISO), to manage cybersecurity risks. Their responsibilities include:<\/p>\n

              Establishing standards and controls,<\/p>\n<\/li>\n

            • \n

              Implementing cybersecurity and resilience policies,<\/p>\n<\/li>\n

            • \n
