The provisions came into force on 3-11-2025.<\/p>\n<h3>Key Amendment:<\/h3>\n<p style=\"margin-bottom: 3%;\">The <span style=\"font-weight: bold;\">Companies (Meetings of Board and its Powers) Amendment Rules, 2025<\/span> amended Rule 11 relating to <span style=\"font-weight: bold;\">&#8220;Loan and investment by a company under Section 186 of the Act&#8221;<\/span>.<\/p>\n<p style=\"margin-bottom: 3%;\">Through this amendment, the scope of the expression &#8220;<span style=\"font-weight: bold;\">business of financing industrial enterprises<\/span>&#8221; has been modified:<\/p>\n<p style=\"margin-bottom: 3%;\"><span style=\"font-weight: bold;\">Earlier<\/span>, with regard to a <span style=\"font-weight: bold;\">Non-Banking Financial Company<\/span> registered with the <span style=\"font-weight: bold;\">Reserve Bank of India<\/span>, it meant <span style=\"font-style: italic;\">&#8220;business of giving of any loan to a person or providing any guaranty or security for due repayment of any loan availed by any person in the ordinary course of its business&#8221;.<\/span><\/p>\n<p style=\"\"><span style=\"font-weight: bold;\">Now<\/span>, for:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>The<span style=\"font-weight: bold;\">Non-Banking Financial Company<\/span> registered with the <span style=\"font-weight: bold;\">Reserve Bank of India<\/span>, the expression &#8220;<span style=\"font-weight: bold;\">business of financing industrial enterprises<\/span>&#8221;
