The transaction, valued at approximately USD 9.99 million, is proposed to be undertaken for non-cash consideration (i.e., by way of a share swap), culminating in REA Group acquiring a minority (5.5%) stake in APTL. The deal documents were executed on 23 July 2025.<\/p>\n<p style=\"margin-bottom: 3%;\">The transaction team was led by Aayush Kapoor, <span style=\"font-style: italic;\">Partner<\/span> and Manita Doshi, <span style=\"font-style: italic;\">Partner<\/span>, with support from Paavani Gupta, <span style=\"font-style: italic;\">Senior Associate<\/span>; Vaibhavi Shaunak, <span style=\"font-style: italic;\">Senior Associate<\/span>; and Kanika Mittal, <span style=\"font-style: italic;\">Senior Associate<\/span>. The transaction team also received tax advisory support from Gouri Puri, <span style=\"font-style: italic;\">Partner<\/span>.<\/p>\n<p style=\"margin-bottom: 3%;\">The corporate due diligence team also included Subhashini Narayanan, <span style=\"font-style: italic;\">Senior Associate<\/span>; Rishika Sharma, <span style=\"font-style: italic;\">Associate<\/span> and Divya Khanwani, <span style=\"font-style: italic;\">Associate<\/span>. Kriti Kaushik, <span style=\"font-style: italic;\">Partner<\/span> led the employment law aspects of the diligence with support from Sanskriti Nigam, <span style=\"font-style: italic;\">Associate<\/span>; and Apoorva Murali, <span style=\"font-style: italic;\">Partner<\/span> led the intellectual property law aspects of the diligence, with support from Anshika Chadha, <span
