Shardul Amarchand Mangaldas & Co. acted as legal counsel to the Trichem Group and its Promoters in connection with the sale of 100% equity stake in Trichem Healthcare Private Limited, Trichem Lifesciences Limited, and Chemistry & Health FZ LLC (Dubai) (\u201cTarget Entities<\/span>\u201d) to the IMCD Group. The Target Entities are engaged primarily in the businesses of indenting, distribution, manufacture and sale of high-quality Active Pharmaceutical Ingredients (\u201cAPI\u201d), pharmaceutical intermediates (\u201cIntermediates\u201d), and formulation solutions (\u201cFormulations\u201d).<\/p>\n

The Shardul Amarchand Mangaldas & Co. team advised the Trichem Group and its Promoters in relation to the structuring of the transaction from a commercial and a regulatory perspective, and drafting and negotiating the transaction documents for each of the Target Entities. The team also provided comprehensive support and advice on execution logistics, fulfilment of conditions precedent, and closing date actions to facilitate a smooth completion of the transaction.<\/p>\n

This strategic acquisition marks a significant milestone for the IMCD Group as it strengthens its presence in the high-growth life sciences sector in India and the Middle East. With India being a major global supplier of generic drugs, the acquisition of the Trichem Group\u2014renowned for its high-quality APIs, Intermediates, and Formulations, and its regulatory expertise \u2014 will enable IMCD to enhance its pharmaceutical portfolio and deepen its market footprint. The deal will allow IMCD to leverage Trichem\u2019s deep industry relationships across the globe and technical know-how and aligns with IMCD\u2019s commitment towards sustainable value creation in the speciality chemicals and ingredients sector.<\/p>\n
