Cyril Amarchand Mangaldas acted as legal counsels to Central Bank of India (\u201cCBI<\/span>\u201d) in connection with entering into the following agreements:<\/p>\n

a. shareholders agreement with Generali Participations Netherlands N.V. (\u201cGenerali<\/span>\u201d) and Future Generali India Life Insurance Company Limited (\u201cFGILICL<\/span>\u201d);<\/p>\n

b. shareholders agreement with Generali and Future Generali India Insurance Company Limited (\u201cFGIICL<\/span>\u201d);<\/p>\n

c. trademark licensing agreement with Generali;<\/p>\n

d. corporate agency agreement with FGILICL; and<\/p>\n

e. corporate agency agreement with FGIICL.<\/p>\n

It is pertinent to note that CBI has acquired 25.18% (twenty five point one eight percent) in FGILICL and 24.91% (twenty four point nine one percent) in FGIICL, through the corporate insolvency resolution process of Future Enterprises Limited under the Insolvency and Bankruptcy Code, 2016. Our scope of work involved advising CBI on their entry into the insurance sector as a \u201cpromoter\u201d, drafting, negotiating and finalising the terms of each of the aforesaid transaction documents.<\/p>\n

The transaction was led by Indranath Bishnu<\/span> (Partner and Head – Insurance<\/span>) and Pranjita Barman<\/span> (Partner<\/span>); with support from Anirud Sudarsan R<\/span>, Principal Associate<\/span>; Subhalaxmi Hota<\/span> (Associate<\/span>); and Saakshi Tibrewal<\/span> (Associate<\/span>).<\/p>\n
