{"id":351805,"date":"2025-06-28T18:00:22","date_gmt":"2025-06-28T12:30:22","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=351805"},"modified":"2025-06-28T17:03:50","modified_gmt":"2025-06-28T11:33:50","slug":"cam-advises-nazara-technologies-smaaash-resolution-plan","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2025\/06\/28\/cam-advises-nazara-technologies-smaaash-resolution-plan\/","title":{"rendered":"Cyril Amarchand Mangaldas advises Nazara Technologies on Resolution Plan for Smaaash Entertainment"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\">Cyril Amarchand Mangaldas has advised and represented Nazara Technologies Limited (\u201c<span style=\"font-weight: bold;\">Nazara<\/span>\u201d) in connection with the submission and implementation of the resolution plan for Smaaash Entertainment Private Limited (\u201c<span style=\"font-weight: bold;\">Smaaash<\/span>\u201d), a company which was undergoing corporate insolvency resolution process under the provisions of the Insolvency and Bankruptcy Code, 2016, as amended.<\/p>\n<p style=\"margin-bottom: 3%;\">The resolution plan submitted by Nazara (\u201c<span style=\"font-weight: bold;\">Resolution Plan<\/span>\u201d) was approved by the Mumbai bench of the National Company Law Tribunal (\u201c<span style=\"font-weight: bold;\">NCLT<\/span>\u201d) by an order dated May 7, 2025. The Resolution Plan was successfully implemented on June 6, 2025.<\/p>\n<p style=\"margin-bottom: 3%;\">The Firm was involved in drafting and negotiation of the Resolution Plan with the committee of creditors of the Smaaash and has advised and represented Nazara during the entire process culminating into successful approval and implementation of the Resolution Plan. The Firm also represented Nazara before the NCLT.<\/p>\n<p style=\"margin-bottom: 3%;\">The transaction team was led by <span style=\"font-weight: bold;\">Madhav Kanoria<\/span>, <span style=\"font-style: italic;\">Partner<\/span>; and <span style=\"font-weight: bold;\">Surbhi Pareek<\/span>, <span style=\"font-style: italic;\">Partner<\/span>; with the support from <span style=\"font-weight: bold;\">Shivani Chaturvedi<\/span>, <span style=\"font-style: italic;\">Principal Associate<\/span>; and <span style=\"font-weight: bold;\">Karthika Sanjay<\/span>, <span style=\"font-style: italic;\">Associate<\/span>.<\/p>\n<p style=\"margin-bottom: 3%;\">The transaction was signed on May 7, 2025 and closed on June 6,
