Micro, Small and Medium Enterprises Development Act, 2006.\" href=\"#fn1\"><sup>1<\/sup><\/a> was passed with the main objective of easing the promotion and development of micro, small and medium enterprises (MSMEs) and resolving the disputes pertaining to delayed payments to such entities. Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18<\/a><a id=\"fnref2\" title=\"2. Micro, Small and Medium Enterprises Development Act, 2006, S. 18.\" href=\"#fn2\"><sup>2<\/sup><\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> provides for the mechanism for resolution of dispute through conciliation and arbitration by Micro and Small Enterprises Facilitation Councils (MSEF Councils).<\/p>\n<p style=\"margin-bottom: 3%;\">An important issue that has emerged in arbitrations under the MSMED Act is regarding the determination of the seat of arbitration, especially when the contract between the parties provides for a different seat or confers exclusive jurisdiction on courts at a place other than where the MSEF Council is located. This confusion has caused divergent judicial views on whether Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18(4)<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a>, which provides that the Council in the place where the supplier is located shall have the jurisdiction over the arbitral proceedings would override any contractual designation of seat or exclusive jurisdiction.<\/p>\n<p style=\"margin-bottom: 3%;\">This article delves into the judicial divergence on this issue and the recent pronouncement of the Supreme Court which has settled the legal position on the matter.<\/p>\n<h2>Judicial divergence: Contractual designation of seat versus statutory jurisdiction under Section 18(4)<\/h2>\n<p style=\"font-style: italic; background-image: linear-gradient(to left, #FFFFFF, #ecc6c6);\">View I: Contractual seat prevails \u2014 Section 18(4) is limited to venue<\/p>\n<p>Several High Courts have held that Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18(4)<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> merely provides for the venue of arbitration where the MSEF Council may conduct the arbitral proceedings and does not provide for the seat of arbitration, particularly when the contract between the parties specifies otherwise.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">i<\/span>) In <span style=\"font-style: italic;\">Indian Oil Corpn. Ltd.<\/span> v. <span style=\"font-style: italic;\">Fepl Engg. (P) Ltd.<\/span><a id=\"fnref3\" title=\"3. 2019 SCC OnLine Del 10265.\" href=\"#fn3\"><sup>3<\/sup><\/a>, the Delhi High Court held that the contractual seat of arbitration would prevail over the location of the MSEF Council. It held that the location of the MSEF Council can only be the venue of arbitration. It held that the supervisory jurisdiction of the Court over the arbitral proceedings would be determined in accordance with the contractual seat of arbitration.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">ii<\/span>) A similar view was taken in <span style=\"font-style: italic;\">Ircon International Ltd.<\/span> v. <span style=\"font-style: italic;\">Pioneer Fabricators (P) Ltd.<\/span><a id=\"fnref4\" title=\"4. (2023) 2 HCC (Del) 359 : 2023 SCC OnLine Del 1811.\" href=\"#fn4\"><sup>4<\/sup><\/a>, wherein the Court held that Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18(4)<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> does not overrides the contractual seat of arbitration.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">iii<\/span>) The Bombay High Court in <span style=\"font-style: italic;\">Gammon Engineers and Contractors (P) Ltd.<\/span> v. <span style=\"font-style: italic;\">Sahay Industries<\/span><a id=\"fnref5\" title=\"5. 2023 SCC OnLine Bom 750.\" href=\"#fn5\"><sup>5<\/sup><\/a>, held that Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> would override any agreement to the contrary vis-\u00e0-vis the process of appointment of the arbitrator but does not override the contractual designation on jurisdiction or seat of arbitration.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">iv<\/span>) In <span style=\"font-style: italic;\">Odisha Power Generation Corpn. Ltd.<\/span> v. <span style=\"font-style: italic;\">Techniche Consulting Service<\/span><a id=\"fnref6\" title=\"6. 2024 SCC OnLine Cal 10386.\" href=\"#fn6\"><sup>6<\/sup><\/a>, the Calcutta High Court held that where the contract provided for a different seat of arbitration, the courts at the place where the MSEF Council is located would not have jurisdiction, and petition challenging the arbitral award has to be filed in the Court where the contractual seat of arbitration is located.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">v<\/span>) The Division Bench of the Gujarat High Court in <span style=\"font-style: italic;\">Uttar Gujarat Vij Co. Ltd.<\/span> v. <span style=\"font-style: italic;\">Gupta Power Infrastructure Ltd.<\/span><a id=\"fnref7\" title=\"7. 2024 SCC OnLine Guj 4280.\" href=\"#fn7\"><sup>7<\/sup><\/a>, held that Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> overrides the contract only in relation to the appointment process and not to matters regarding the seat of arbitration.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt; margin-bottom: 3%;\">(<span style=\"font-style: italic;\">vi<\/span>) The Karnataka High Court in <span style=\"font-style: italic;\">Union of India<\/span> v. <span style=\"font-style: italic;\">Harcharan Dass Gupta<\/span><a id=\"fnref8\" title=\"8. Writ Petition No. 27269 of 2023.\" href=\"#fn8\"><sup>8<\/sup><\/a> annulled the reference made to Delhi International Arbitration Centre (DIAC) on the ground that the contract between the parties designated Bengaluru as the seat of arbitration. The Court rejected the supplier&#8217;s reliance on Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18(4)<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a>, holding that a specific contractual clause would prevail over the designation of venue under Section 18(4).<\/p>\n<p style=\"font-style: italic; background-image: linear-gradient(to left, #FFFFFF, #ecc6c6);\">View II: Statutory supremacy \u2014 Section 18(4) determines the seat<\/p>\n<p>Contrary to the view taken in abovementioned judgments, several High Courts have held that Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18(4)<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> provides for statutory seat of arbitration, and any contrary contractual clause must yield to the statutory mandate.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">i<\/span>) In <span style=\"font-style: italic;\">Ahluwalia Contracts (India) Ltd.<\/span> v. <span style=\"font-style: italic;\">Ozone Research &amp; Applications (India) (P) Ltd.<\/span><a id=\"fnref9\" title=\"9. 2023 SCC OnLine Del 518.\" href=\"#fn9\"><sup>9<\/sup><\/a>, the Delhi High Court held that the seat of arbitration would be determined in accordance with Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18(4)<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> and the exclusive jurisdiction clause in the agreement would not override Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18(4)<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a>.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">ii<\/span>) In <span style=\"font-style: italic;\">Delhi Tourism and Transportation Development Corpn.<\/span> v. <span style=\"font-style: italic;\">Satinder Mahajan<\/span><a id=\"fnref10\" title=\"10. 2024 SCC OnLine Del 3206.\" href=\"#fn10\"><sup>10<\/sup><\/a>, the Delhi High Court held that any agreement between the parties regarding exclusive jurisdiction would not override the mandate of Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18(4)<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> which will continue to determine the Court in which the award is to be challenged.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt; margin-bottom: 3%;\">(<span style=\"font-style: italic;\">iii<\/span>) The Kerala High Court in <span style=\"font-style: italic;\">Shreyas Mktg.<\/span> v. <span style=\"font-style: italic;\">MSEFC, Bangalore<\/span><a id=\"fnref11\" title=\"11. (2023) 1 HCC (Ker) 94 : 2023 SCC OnLine Ker 4206.\" href=\"#fn11\"><sup>11<\/sup><\/a> similarly held that notwithstanding that the cause of action for arbitration arose in some place, the seat of arbitration would be where the MSEF Council is located.<\/p>\n<h2>Supreme Court clarification in\u00a0<i>Union of India<\/i>\u00a0v.\u00a0<i>Harcharan Dass Gupta<\/i><\/h2>\n<p style=\"margin-bottom: 3%;\">The issue travelled to the Supreme Court in <span style=\"font-style: italic;\">Harcharan Dass Gupta<\/span> v. <span style=\"font-style: italic;\">Union of India<\/span><a id=\"fnref12\" title=\"12. 2025 SCC OnLine SC 1111.\" href=\"#fn12\"><sup>12<\/sup><\/a>, wherein the Supreme Court, reversed the decision of the Karnataka High Court and held that the seat of arbitration in an arbitration under Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001546080\" target=\"_blank\" rel=\"noopener\">18<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> shall be determined in accordance with Section 18(4) \u2014 i.e. it shall be the place where the supplier (MSME entity) is located.<\/p>\n<p style=\"margin-bottom: 3%;\">The Supreme Court held that statutory mandate prevails over party autonomy. Relying upon its earlier judgment in <span style=\"font-style: italic;\">Gujarat State Civil Supplies Corpn. Ltd.<\/span> v. <span style=\"font-style: italic;\">Mahakali Foods (P) Ltd.<\/span><a id=\"fnref13\" title=\"13. (2023) 6 SCC 401.\" href=\"#fn13\"><sup>13<\/sup><\/a>, the Court reiterated that provisions of the MSMED Act, being special legislation enacted for the benefit of MSMEs, would override anything contrary contained in the contract, including arbitration clauses.<\/p>\n<p style=\"margin-bottom: 3%;\">It was held that Section 18(4) of the MSMED Act determines the seat of arbitration, thereby attracting the jurisdiction of courts at that place for all matters arising out of the arbitral proceedings.<\/p>\n<h2>Implications of the Supreme Court&#8217;s judgment<\/h2>\n<p>The judgment in <span style=\"font-style: italic;\">Harcharan Dass Gupta case<\/span><a id=\"fnref14\" title=\"14. 2025 SCC OnLine SC 1111.\" href=\"#fn14\"><sup>14<\/sup><\/a> brings much-needed clarity to MSME-related arbitrations and settled a controversy had led to inconsistent judgments by different High Courts. The following implications flow from this decision:<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">i<\/span>) <span style=\"font-style: italic;\">Primacy of statutory seat<\/span>: The seat of arbitration under the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002942157\" target=\"_blank\" rel=\"noopener\">MSMED Act<\/a> will be location of the MSEF Council, as mandated under Section 18(4), irrespective of any agreement to the contrary.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">ii<\/span>) <span style=\"font-style: italic;\">Supervisory jurisdiction of courts<\/span>: The courts having jurisdiction over the area where the MSEF Council is located shall have supervisory jurisdiction over the arbitral proceedings, including under Sections <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001544997\" target=\"_blank\" rel=\"noopener\">9<\/a>, <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001544910\" target=\"_blank\" rel=\"noopener\">11<\/a>, <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001544939\" target=\"_blank\" rel=\"noopener\">34<\/a> and <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001544942\" target=\"_blank\" rel=\"noopener\">37<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002726958\" target=\"_blank\" rel=\"noopener\">Arbitration and Conciliation Act, 1996<\/a><a id=\"fnref15\" title=\"15. Arbitration and Conciliation Act, 1996, Ss. 9, 11, 34 and 37.\" href=\"#fn15\"><sup>15<\/sup><\/a>.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt;\">(<span style=\"font-style: italic;\">iii<\/span>) <span style=\"font-style: italic;\">Harmonisation of judicial approach<\/span>: With this decision, the previously split judicial landscape stands resolved which would reduce forum shopping and jurisdictional conflicts in future MSME disputes.<\/p>\n<p style=\"margin-left: 36pt; text-indent: -18pt; margin-bottom: 3%;\">(<span style=\"font-style: italic;\">iv<\/span>) <span style=\"font-style: italic;\">Ease of access for MSMEs<\/span>: By fixing the arbitral proceedings to the place where the supplier is located, the decision improves ease of access to justice for MSMEs. This would also ensure that the MSME disputes are resolved in a more expeditious manner, thus furthering the objectives of the MSMED Act.<\/p>\n<\/div>\n<hr \/>\n<p style=\"margin-left: 18pt; text-indent: -18pt;\"><strong><span style=\"color: #000080;\">*Principal Associate, Khaitan &amp;
