On 3-6-2025, the Securities and Exchange Board of India<\/span> (\u2018SEBI\u2019<\/span>) notified a circular on \u2018Margin obligations to be given by way of Pledge\/Re-pledge in the Depository System\u2019<\/span>, introducing a transformative framework to streamline transactions, reduce operational inefficiencies, and enhance investor protection. This circular\u2019s provisions will come into force on 5-9-2025 and Depositories will be releasing a detailed operating guideline by 1-7-2025.<\/p>\n

Key Points:<\/h3>\n
    \n
  1. This circular establishes a simplified mechanism<\/span> for fulfilling margin obligations through pledged securities<\/span>, reducing inefficiencies in the current system while strengthening investor protection.<\/li>\n
  2. The \u2018Master Circular for Stock Brokers<\/span><\/a>\u2019 required brokers to accept collateral solely through margin pledges<\/span>. However, execution of these provisions was severely challenged when pledged securities were either invoked<\/span> for encashment or sold<\/span> by clients, defeating their intended purpose of realizing funds, highlighting the need for procedural enhancements.<\/li>\n
  3. To overcome challenges faced, reduce compliance burdens<\/span> and enhance liquidity<\/span>, SEBI has introduced an automated process<\/span> aimed at improving execution efficiency and transparency.<\/li>\n
  4. The process of clients selling the securities will be simplified by opting single instruction- \u2018pledge release for early pay-in\u2019<\/span>, enabling immediate release and early pay in into the client\u2019s demat account.<\/li>\n
  5. When Trading Members invoke pledged securities, these securities will be automatically blocked for early pay-in, ensuring compliance while maintaining transaction transparency.<\/li>\n
  6. For seamless redemption of Mutual Funds, Depositories will introduce- \u2018invocation cum redemption<\/span>\u2019 against securities that are not traded on exchange.<\/li>\n
  7. Securities of frozen\/restricted trading accounts<\/span> will be sold by brokers under their own proprietary code, ensuring a same-day pay-in<\/span> to prevent unnecessary accumulation.<\/li>\n
  8. These regulatory changes improve transparency, efficiency, and investor protection while aligning SEBI\u2019s framework with global standards.
