The Investors have also entered into a Shareholders&#8217; Agreement (&#8220;<span style=\"font-weight: bold;\">SHA<\/span>&#8221;) with aforementioned members of the promoter and promoter group of the Company and the Company recording the terms and conditions governing the management of the Company and its subsidiaries and the <span style=\"font-style: italic;\">inter se<\/span> rights and obligations between the Investors, and aforementioned members of the promoter and promoter group, in relation to the Company and its subsidiaries. By virtue of the SHA, on the consummation of the Proposed Transaction, the Investors will acquire and exercise control over the Company and become &#8216;promoters&#8217; of the Company along with the existing promoters. Pursuant to the execution of the SSA and the SHA, the Investors are required to make a mandatory open offer to the public shareholders of the Company pursuant to Regulations 3 and 4 of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.<\/p>\n<p style=\"margin-bottom: 3%;\">The transaction team was led by <span style=\"font-weight: bold;\">Cyril Shroff<\/span>, <span style=\"font-style: italic;\">Managing Partner<\/span>; <span style=\"font-weight: bold;\">L.
