{"id":340709,"date":"2025-02-07T11:30:10","date_gmt":"2025-02-07T06:00:10","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=340709"},"modified":"2025-02-07T11:48:18","modified_gmt":"2025-02-07T06:18:18","slug":"ibbi-insolvency-resolution-process-for-corporate-persons-amendment-regulations","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2025\/02\/07\/ibbi-insolvency-resolution-process-for-corporate-persons-amendment-regulations\/","title":{"rendered":"IBBI amends regulations streamlining Corporate Insolvency Resolution Process"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\">On 3-2-2025, the <span style=\"font-weight: bold;\">Insolvency and Bankruptcy Board of India<\/span> notified the <span style=\"font-weight: bold;\">Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons) (Amendment) Regulations, 2025<\/span> to amend the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002844019\" target=\"_blank\">Insolvency and Bankruptcy Board of India (Insolvency Resolution Process for Corporate Persons) Regulations, 2016<\/a>. The provisions came into force on 3-2-2025.<\/p>\n<h3>Key Points:<\/h3>\n<ol style=\"list-style-type: decimal;\">\n<li>\n<p><span style=\"font-weight: bold;\">Regulation 4-E<\/span> has been introduced relating to <span style=\"font-weight: bold;\">Handling over the possession:<\/span><\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p><span style=\"font-weight: bold;\">Resolution Professional (&#8216;RP&#8217;)<\/span> will have to obtain 66% of total votes of the committee;<\/p>\n<\/li>\n<li>\n<p>Only after attaining the required votes, RP will hand over the possession of the plot, apartment, or building or any instruments which was to be transferred.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p><span style=\"font-weight: bold;\">Chapter V<\/span> relating to <span style=\"font-weight: bold;\">&#8220;Committee of Creditors&#8221;<\/span> has been revised introducing a new <span style=\"font-weight: bold;\">Regulation 16-C<\/span> which relates to <span style=\"font-weight: bold;\">Appointment of facilitators:<\/span><\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>In case number of creditors in a class exceeds 1000- committee can direct the interim RP\/ RP to appoint an insolvency professional other than interim RP\/ RP\/ authorized representatives as <span style=\"font-weight: bold;\">Facilitator<\/span> for a sub-class within creditors in a class:<\/p>\n<ul style=\"list-style-type: circle;\">\n<li>\n<p>Facilitator will be appointed by the committee only if a sub- class compromising of at least 100 creditors out of total number of creditors in a class, request for inclusion of an agenda for such appointment and also propose the name for such appointment;<\/p>\n<\/li>\n<li>\n<p>There can only be 5 facilitators at max;<\/p>\n<\/li>\n<li>\n<p>Fee for facilitator for ech sub-class will be 20% of the fees specified for authorized representative;<\/p>\n<\/li>\n<li>\n<p>This fee will be a part of the insolvency resolution process cost.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p>Facilitator can be replaced by the committee on the recommendation of the majority of members of the sub-class.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p>Newly introduced <span style=\"font-weight: bold;\">Regulation 16-D<\/span> talks about the <span style=\"font-weight: bold;\">Duties and responsibilities of the facilitator:<\/span><\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>Facilitate communication between authorized representative and the creditors of the sub-class;<\/p>\n<\/li>\n<li>\n<p>Attend meetings of the committee, as observers, to facilitate communication between creditors of the respective sub-class;<\/p>\n<\/li>\n<li>\n<p>Provide information and clarifications to the creditors in a sub-class about the insolvency resolution process;<\/p>\n<\/li>\n<li>\n<p>Perform any other task given by the committee to improve representation and communication.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p><span style=\"font-weight: bold;\">Regulation 18<\/span> relating to <span style=\"font-weight: bold;\">Meetings of the committee<\/span> has been revised introducing a new provision which specifies that if the corporate debtor has any real estate project, the committee can direst the RP to invite the <span style=\"font-weight: bold;\">Competent Authority<\/span> to attend meetings of the committee to provide inputs on matters associated with development of projects.<\/p>\n<\/li>\n<li>\n<p><span style=\"font-weight: bold;\">Regulation 30-C has been introduced<\/span> under the chapter relating to <span style=\"font-weight: bold;\">Conduct of Corporate Insolvency Resolution Process<\/span> which talks about the <span style=\"font-weight: bold;\">Report on the status of development rights and permissions of real estate projects:<\/span><\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>RP will have to:<\/p>\n<ul style=\"list-style-type: circle;\">\n<li>\n<p>Prepare a report detailing the status of development rights and permissions required for development of such project;<\/p>\n<\/li>\n<li>\n<p>submit the report to the committee for its comments;<\/p>\n<\/li>\n<li>\n<p style=\"margin-bottom: 3%;\">Submit the report and comments to the Adjudicating Authority on \/ before 60<span style=\"vertical-align: super;\">th<\/span> day from the insolvency commencement date.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<p style=\"margin-bottom: 3%;\"><span style=\"font-weight: bold;\">Note:<\/span> &#8220;competent authority&#8221; under <a href=\"http:\/\/www.scconline.com\/DocumentLink\/u5bCT3Hd\" target=\"_blank\">Real Estate (Regulation and Development) Act, 2016<\/a> means the local authority or any authority created or established under any law for the time being in force by the appropriate Government which exercises authority over land under its jurisdiction and has powers to
