{"id":339687,"date":"2025-01-24T13:30:55","date_gmt":"2025-01-24T08:00:55","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=339687"},"modified":"2025-01-24T13:56:49","modified_gmt":"2025-01-24T08:26:49","slug":"cyril-amarchand-mangaldas-advises-hindustan-unilever-limited-on-the-demerger-of-its-ice-cream-business-into-kwality-walls-india-limited","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2025\/01\/24\/cyril-amarchand-mangaldas-advises-hindustan-unilever-limited-on-the-demerger-of-its-ice-cream-business-into-kwality-walls-india-limited\/","title":{"rendered":"Cyril Amarchand Mangaldas advises Hindustan Unilever Limited on the demerger of its Ice-Cream Business into Kwality Wall\u2019s (India) Limited"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\">Cyril Amarchand Mangaldas (&#8220;CAM&#8221;) advised Hindustan Unilever Limited (<span style=\"font-weight: bold;\">HUL<\/span>) as its sole legal advisor on the demerger of its Ice-Cream Business into Kwality Wall&#8217;s (India) Limited (<span style=\"font-weight: bold;\">KWIL<\/span>), a wholly owned subsidiary of HUL, by way of a scheme of arrangement between HUL and KWIL and their respective shareholders (<span style=\"font-weight: bold;\">Scheme<\/span>).<\/p>\n<p style=\"margin-bottom: 3%;\">Following the announcement by HUL&#8217;s parent entity, Unilever PLC, of its intention to separate its ice cream business globally, the HUL board had undertaken a comprehensive review and had decided to separate the Ice Cream Business, and had on November 25, 2024 announced that the HUL&#8217;s Board had accorded its in-principle approval for demerger of Ice Cream business into an independent listed entity.<\/p>\n<p style=\"margin-bottom: 3%;\">The board of HUL and KWIL has on 22nd January 2025 approved the Scheme for the demerger. The Scheme is subject to requisite approvals including from the stock exchanges, shareholders\/ creditors, National Company Law Tribunal, Mumbai Bench. Upon the effectiveness of the Scheme, the shares of KWIL would be listed on the stock exchanges.<\/p>\n<p style=\"margin-bottom: 3%;\"><span style=\"font-weight: bold;\">Cyril Shroff<\/span>, Managing Partner<\/span> provided strategic inputs on the transaction.<\/p>\n<p style=\"margin-bottom: 3%;\">The transaction was led by <span style=\"font-weight: bold;\">Ramgovind Kuruppath<\/span>, Partner;
