Poland"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\">Infifresh Foods Private Limited operating under brand name &#8216;Captain Fresh&#8217; (CF India) and its overseas subsidiary Infifresh Foodtech AS (CF Norway) (collectively &#8220;<span style=\"font-weight: bold;\">CF Group<\/span>&#8221;) acquired 100% shareholding of Koral S.A. Poland (&#8220;<span style=\"font-weight: bold;\">Koral<\/span>&#8221;) from its shareholders, GRWC Holdings Limited (a private equity fund) and Futura Simul Fundacja Rodzinna (family foundation) (collectively &#8220;<span style=\"font-weight: bold;\">Sellers<\/span>&#8221;) in share swap deal.<\/p>\n<p style=\"margin-bottom: 3%;\">DSK Legal and Herbert Smith Freehills acted as lead transaction counsel and advised and assisted CF Group in: (a) structuring of and implementing the overall share swap structure with the support of foreign legal counsels at relevant jurisdiction; (ii) drafting, reviewing negotiating and finalizing transaction documents reflecting the swap structure; and (iii) assistance in end-to-end closing in Poland, Norway and India and regulatory filings in India.<\/p>\n<p style=\"margin-bottom: 3%;\">The closing of the aforesaid transaction steps completed on December 23, 2024 and was undertaken simultaneously in Poland, Norway and India.<\/p>\n<p style=\"font-weight: bold; margin-bottom: 3%;\">DSK team for this transaction was led by Jayesh Kothari (Partner), Rajlaxmi Kale (Principal Associate), Hemanshi Gala (Senior Associate), Kunal Chopra (Senior Associate) and Sreedatri Dhar (Associate).<\/p>\n<p style=\"margin-bottom: 3%;\">Herbert Smith Freehills, DZP Law (Polish Counsel), Schjodt Legal (Norwegian Counsel), KPMG Legal (Norway) advised CF Group.<\/p>\n<p style=\"margin-bottom: 3%;\">Clifford Chance acted as lead counsel along with BAHR A.S, and AZB &amp; Partners for the Sellers. <\/p>\n<p style=\"margin-bottom: 3%;\">KPMG Norway, BDO India and E &amp; Y Global acted as tax advisors to this transaction. <\/p>\n<p style=\"margin-bottom: 3%;\">Antarctica Advisors acted as investment bankers to this transaction.<\/p>\n<\/div>\n","protected":false},"excerpt":{"rendered":"<p><i>Infifresh Foods Private Limited operating under brand name \u2018Captain Fresh\u2019 (CF India) and its overseas subsidiary Infifresh Foodtech AS<\/i><\/p>\n","protected":false},"author":8808,"featured_media":339229,"comment_status":"open","ping_status":"open","sticky":false,"template":"","format":"standard","meta":{"_jetpack_memberships_contains_paid_content":false,"footnotes":""},"categories":[45282,2],"tags":[64059,77614,77618,77615,77617,51064,58238,77612,77616,77613],"class_list":["post-339216","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-law-firms-news","category-news","tag-azb-partners","tag-captain-fresh","tag-cf-group","tag-cf-india","tag-cf-norway","tag-clifford-chance","tag-dsk-legal","tag-herbert-smith","tag-infifresh-foodtech-as","tag-koral-s-a-poland"],"yoast_head":"<!-- This site is optimized with the Yoast SEO Premium plugin v27.4 (Yoast SEO v27.4) - https:\/\/yoast.com\/product\/yoast-seo-premium-wordpress\/ -->\n<title>DSK Legal, Herbert Smith, Clifford Chance and AZB Partners act on the 100% acquisition by Captain Fresh of Koral S.A.
