{"id":330504,"date":"2024-09-10T16:00:55","date_gmt":"2024-09-10T10:30:55","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=330504"},"modified":"2024-10-26T11:46:04","modified_gmt":"2024-10-26T06:16:04","slug":"an-insolvency-proceeding-under-section-95-of-the-ibc-abates-after-the-death-of-personal-guarantor-nclt-scc-times","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2024\/09\/10\/an-insolvency-proceeding-under-section-95-of-the-ibc-abates-after-the-death-of-personal-guarantor-nclt-scc-times\/","title":{"rendered":"Insolvency proceeding under Section 95 IBC can\u2019t be continued against legal heirs after personal guarantor\u2019s death: NCLT"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\"><span style=\"font-weight: bold;\">National Company Law Tribunal, New Delhi:<\/span> In an application seeking substitution of the legal heirs in place of the deceased guarantor in an insolvency proceeding against the personal guarantor (respondent) of a Corporate Debtor, a division bench of <span style=\"font-weight: bold;\">Mahendra Khandelwal* (Judicial Member)<\/span> and Rahul Bhatnagar (Technical Member), held that insolvency proceedings against a deceased Personal Guarantor do not continue against the legal heirs as the those obligations are personal under the IBC and dismissed the application seeking substitution of the legal heirs.<\/p>\n<p style=\"margin-bottom: 3%;\">In the instant matter, the applicant filed a petition under Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001549834\" target=\"_blank\" rel=\"noopener\">95<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002802178\" target=\"_blank\" rel=\"noopener\">Insolvency and Bankruptcy Code, 2016<\/a> (IBC), seeking the initiation of insolvency proceedings against the personal guarantor (respondent) of a Corporate Debtor. During the pendency of the case, the personal guarantor passed away. Consequently, the applicant filed an Interim Application, seeking substitution of the legal heirs in place of the deceased guarantor. The main issue before the NCLT was whether insolvency proceedings under Part III of the IBC abate upon the death of the personal guarantor or can the proceedings continue against their legal representatives.<\/p>\n<p style=\"margin-bottom: 3%;\">The applicant relied on Sections <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001549611\" target=\"_blank\" rel=\"noopener\">123(5)<\/a> and <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001549661\" target=\"_blank\" rel=\"noopener\">169<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002802178\" target=\"_blank\" rel=\"noopener\">IBC<\/a>, Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001523905\" target=\"_blank\" rel=\"noopener\">17<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002927375\" target=\"_blank\" rel=\"noopener\">Provincial Insolvency Act, 1920<\/a>, and <span style=\"font-style: italic;\">Molhar Singh<\/span> v. <span style=\"font-style: italic;\">Raghunath<\/span>, <a href=\"http:\/\/www.scconline.com\/DocumentLink\/7c9ml7X1\" target=\"_blank\" rel=\"noopener\">1972 SCC OnLine All 42<\/a> and argued that substitution of legal heirs in place of the deceased guarantor is permitted. The appplicant<\/p>\n<p style=\"margin-bottom: 3%;\">The NCLT found the applicant&#8217;s reliance on Sections <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001549611\" target=\"_blank\" rel=\"noopener\">123(5)<\/a> and <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001549661\" target=\"_blank\" rel=\"noopener\">169<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002802178\" target=\"_blank\" rel=\"noopener\">IBC<\/a> misplaced, as no bankruptcy order was passed in the current case. The NCLT stated that <span style=\"font-style: italic;\">Molhar Singh<\/span> (Supra) is not applicable in the present case, as the case is pertained to the Provincial Insolvency Act, not the IBC. The NCLT found no merit in the applicant&#8217;s arguments, as the IBC does not provide for the substitution of legal representatives in such cases.<\/p>\n<p style=\"margin-bottom: 3%;\">The Court cited <span style=\"font-style: italic;\">Alchemist Asset Reconstruction Co.<\/span> v. <span style=\"font-style: italic;\">Deepak Puri<\/span>, <a href=\"http:\/\/www.scconline.com\/DocumentLink\/Crp5D4P5\" target=\"_blank\" rel=\"noopener\">2021 SCC OnLine NCLT 22414<\/a>, where the NCLT held that insolvency proceedings abate upon the death of the personal guarantor, and no proceedings can continue against a dead person; <span style=\"font-style: italic;\">Bank of Baroda<\/span> v. <span style=\"font-style: italic;\">Divya Jalan<\/span>, <a href=\"http:\/\/www.scconline.com\/DocumentLink\/qkKz5ojm\" target=\"_blank\" rel=\"noopener\">2022 SCC OnLine NCLT 191<\/a>, where it was held that the IBC does not provide for substitution of legal heirs in place of the deceased guarantor; <span style=\"font-style: italic;\">Bank of Maharashtra<\/span> v. <span style=\"font-style: italic;\">Ashok Kumar Bansal<\/span>,<a id=\"fnref1\" href=\"#fn1\" title=\"1. CP (IB) No. 300\/ND\/2022, decided on 21-11-2022.\"><sup>1<\/sup><\/a> where the petition under Section 95 following the death of the personal guarantor was dismissed and <span style=\"font-style: italic;\">Vinayak Purushottam Dube<\/span> v. <span style=\"font-style: italic;\">Jayashree Padamkar Bhat<\/span>, <a href=\"http:\/\/www.scconline.com\/DocumentLink\/9JUrZ3TG\" target=\"_blank\" rel=\"noopener\">2024 SCC Online SC 212<\/a>, where the Supreme Court held that the legal representatives cannot be held liable to discharge the personal obligations of a deceased guarantor under a contract. Citing the mentioned above precedents, the NCLT reaffirmed that upon the death of a personal guarantor, the insolvency proceedings abate.<\/p>\n<p style=\"margin-bottom: 3%;\">The NCLT held that insolvency proceedings under Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001549834\" target=\"_blank\" rel=\"noopener\">95<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002802178\" target=\"_blank\" rel=\"noopener\">IBC<\/a> cannot continue after the death of the personal guarantor as the obligation is personal and non-transferable.
