{"id":321682,"date":"2024-05-08T15:00:32","date_gmt":"2024-05-08T09:30:32","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=321682"},"modified":"2024-05-08T21:07:51","modified_gmt":"2024-05-08T15:37:51","slug":"clean-slate-doctrine-wiggle-room-for-uncrystallised-claims","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2024\/05\/08\/clean-slate-doctrine-wiggle-room-for-uncrystallised-claims\/","title":{"rendered":"Clean Slate Doctrine &mdash; Wiggle Room for \u201cUncrystallised Claims\u201d?"},"content":{"rendered":"<div style=\"text-align: justify; line-height: 150%;\">\n<p style=\"margin-bottom: 3%;\"><span style=\"color: #903; float: left; font-family: Georgia; font-size: 75px; line-height: 60px; padding-top: 4px; padding-right: 8px; padding-left: 3px;\">T<\/span>he <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002802178\" target=\"_blank\" rel=\"noopener\">Insolvency and Bankruptcy Code, 2016<\/a> (IBC) under Section 31 provides for a binding nature of the approved resolution plan upon all stakeholders involved in the resolution plan. The 2019 Amendment<a id=\"fnref1\" title=\"1. Insolvency and Bankruptcy Code (Amendment) Act, 2019.\" href=\"#fn1\"><sup>1<\/sup><\/a> further clarified the scope and extent of this to include Central and State Government as well as local authorities to whom statutory dues are owed by the corporate debtor. This led to the development of the \u201cclean slate doctrine\u201d by the Supreme Court in <span style=\"font-style: italic;\">Essar Steel India Ltd. (CoC)<\/span> v. <span style=\"font-style: italic;\">Satish Kumar Gupta<\/span><a id=\"fnref2\" title=\"2. (2020) 8 SCC 531.\" href=\"#fn2\"><sup>2<\/sup><\/a> and <span style=\"font-style: italic;\">Ghanashyam Mishra &amp; Sons (P) Ltd.<\/span> v. <span style=\"font-style: italic;\">Edelweiss Asset Reconstruction Co. Ltd.<\/span><a id=\"fnref3\" title=\"3. Ghanashyam Mishra &amp; Sons (P) Ltd. v. Edelweiss Asset Reconstruction Co. Ltd., (2021) 9 SCC 657.\" href=\"#fn3\"><sup>3<\/sup><\/a>, whereby it was established that once a resolution plan has been approved by the Adjudicating Authority all claims forming part of the resolution plan stand frozen, while claims not forming a part of the resolution plan shall be extinguished.<a id=\"fnref4\" title=\"4. (2021) 9 SCC 657.\" href=\"#fn4\"><sup>4<\/sup><\/a> Thus, no proceedings pertaining to a period prior to the resolution process can continue or be initiated against the corporate debtor for claims which do not form a part of the approved resolution plan.<a id=\"fnref5\" title=\"5. (2021) 9 SCC 657.\" href=\"#fn5\"><sup>5<\/sup><\/a> This ensures a fresh start for the successful resolution applicant and avoids them to be plagued by the hydra-headed nature of new \u201cclaims\u201d against the erstwhile entity.<a id=\"fnref6\" title=\"6. (2020) 8 SCC 531.\" href=\"#fn6\"><sup>6<\/sup><\/a><\/p>\n<p style=\"margin-bottom: 3%;\">Furthermore, trends suggest an even more progressive interpretation to the theory of clean slate, whereby the National Company Law Tribunal (NCLT) and the National Company Law Appellate Tribunal (N<span style=\"font-variant: small-caps;\">CLAT<\/span>) have disallowed fresh claims submitted after the approval of the resolution plan by the Committee of Creditors (CoC) pending approval before the adjudicating authority.<a id=\"fnref7\" title=\"7. Rajan Shivkumar Mangave v. Arun Kapoor, 2024 SCC OnLine NCLT 790.\" href=\"#fn7\"><sup>7<\/sup><\/a> This is because the adjudicating authority cannot interfere with the \u201ccommercial wisdom\u201d of the CoC and once a resolution plan is approved by the CoC the same cannot be amended by the adjudicating authority.<a id=\"fnref8\" title=\"8. Kalpraj Dharamshi v. Kotak Investment Advisors Ltd., (2021) 10 SCC 401.\" href=\"#fn8\"><sup>8<\/sup><\/a> Therefore, if a claim does not form part of the resolution plan approved by the CoC, the same cannot be incorporated by the adjudicating authority at a later stage.<\/p>\n<p style=\"margin-bottom: 3%;\">The theory of clean slate has been challenged on multiple counts owing to uncrystallised dues for the period prior to resolution process,<a id=\"fnref9\" title=\"9. Sree Metaliks Ltd. v. Director General, 2023 SCC OnLine Del 941.\" href=\"#fn9\"><sup>9<\/sup><\/a> assessment of escaped tax liabilities,<a id=\"fnref10\" title=\"10. Murli Industries Ltd. v. CIT, 2021 SCC OnLine Bom 6187.\" href=\"#fn10\"><sup>10<\/sup><\/a> reassessment for a period prior to resolution process,<a id=\"fnref11\" title=\"11. Tata Steel Ltd. v. CIT, 2023 SCC OnLine Del 6987.\" href=\"#fn11\"><sup>11<\/sup><\/a> arrears pertaining to electricity consumption of the corporate debtor,<a id=\"fnref12\" title=\"12. Rashidhan Sales (P) Ltd. v. Damodar Valley Corpn., 2023 SCC OnLine Cal 106; Paschimanchal Vidyut Vitran Nigam Ltd. v. HSA Traders, 2023 SCC OnLine NCLAT 2277.\" href=\"#fn12\"><sup>12<\/sup><\/a> however, the courts have consistently upheld the importance of providing a fresh slate to the resolution applicant and rejected any fresh claims against the corporate debtor once the resolution plan has been approved by the adjudicating authority.<\/p>\n<p style=\"margin-bottom: 3%;\">Here it is critical to note that the operation of clean slate doctrine is solely with respect to the corporate debtor and not the former directors of the corporate debtor i.e. the operation of Clean Slate Doctrine does not absolve the Directors of their personal liability incurred while acting in their respective capacities. In fact, the criminal liability of the Directors under Section <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0001544366\" target=\"_blank\" rel=\"noopener\">138<\/a> of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002726957\" target=\"_blank\" rel=\"noopener\">Negotiable Instruments Act, 1881<\/a> also subsists despite the corporate debtor being absolved of the same by virtue of the resolution plan.<a id=\"fnref13\" title=\"13. Ajay Kumar Radheyshyam Goenka v. Tourism Finance Corpn. of India Ltd., (2023) 10 SCC 545.\" href=\"#fn13\"><sup>13<\/sup><\/a> Likewise, \u201cwilful defaulter\u201d proceedings can also continue after the approval of the resolution plan as such proceedings are aimed at preventing further fraud and loss of public money and not recovery of debt.<\/p>\n<p style=\"margin-bottom: 3%;\">While the courts have held a fairly consistent view with respect to the scope and extent of Clean Slate Doctrine, the same has been a highly contested issue by various government authorities. The most contentious issue remains to be the admission and determination of a fresh claim relating to a period prior to the resolution process arising after the approval of the resolution plan. One such instance has recently been raised before the Supreme Court in an appeal against the judgment of the High Court of Gujarat in <span style=\"font-style: italic;\">Surya Exim Ltd.<\/span> v. <span style=\"font-style: italic;\">Union of India<\/span><a id=\"fnref14\" title=\"14. SCA 1195 of 2023 g\" href=\"#fn14\"><sup>14<\/sup><\/a>.<\/p>\n<p style=\"margin-bottom: 3%;\">In the impugned judgment, the High Court of Gujarat, despite conclusion of the resolution process and fresh start, allowed a reassessment pertaining to tax liability for assessment year prior to resolution plan. The Court held that in the absence of any pending demand as on the date of approval of resolution plan by the adjudicating authority, the liability cannot be said to have been extinguished by virtue of the resolution plan. This is in line with an earlier judgment of the Madras High Court in <span style=\"font-style: italic;\">Dishnet Wireless Ltd.<\/span> v. <span style=\"font-style: italic;\">CIT<\/span><a id=\"fnref15\" title=\"15. 2022 SCC OnLine Mad 3643.\" href=\"#fn15\"><sup>15<\/sup><\/a> wherein the Court observed that the IBC cannot be used to dilute the rights of the Income Tax Department under the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002955939\" target=\"_blank\" rel=\"noopener\">Income Tax Act, 1961<\/a> and thus the same does not preclude the Department from conducting reassessment for a period prior to the conclusion of resolution process.<\/p>\n<p style=\"margin-bottom: 3%;\">Presently, an appeal against the judgment of the High Court of Gujarat in <span style=\"font-style: italic;\">Surya Exim case<\/span><a id=\"fnref16\" title=\"16. SCA 1195 of 2023.\" href=\"#fn16\"><sup>16<\/sup><\/a> is pending before the Supreme Court. Thus, a critical issue regarding origination of fresh liability on account of uncrystallised statutory dues once a resolution plan has been approved will be addressed with finality by the Supreme Court.<\/p>\n<p style=\"margin-bottom: 3%;\">In our considered view the Clean Slate Doctrine operates to allow all \u2014 the resolution applicant, the corporate debtor and the creditors a finality and certainty regarding all dues and liabilities. A successful resolution applicant must not be plagued with unexpected liabilities as it will act as a deterrence against participating in the resolution process. Moreover, allowing for certain statutory dues to be claimed outside the resolution process further impacts the waterfall mechanism under the IBC as it effectively creates a category of \u201cspecial creditors\u201d eligible to claim dues against a corporate debtor by bypassing the IBC.
