The provisions will come into force on the <span style=\"font-weight: bold;\">118<span style=\"vertical-align: super;\">th<\/span> day from 8-3-2024<\/span>.<\/p>\n<p style=\"font-weight: bold;\">Key Points:<\/p>\n<ol style=\"list-style-type: decimal;\">\n<li>\n<p><span style=\"font-weight: bold;\">Applicable<\/span> only to Index Providers (&#8216;IPs&#8217;) that administer Significant Indices consisting of securities listed on recognized stock exchange in Indian securities market.<\/p>\n<p><span style=\"font-weight: bold;\">Exception:<\/span> not applicable to IPs administering Indices:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>Only of global asset classes;<\/p>\n<\/li>\n<li>\n<p>Global assets and Indian securities whether for use in the Indian securities market or elsewhere;<\/p>\n<\/li>\n<li>\n<p>In a foreign jurisdiction.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p style=\"font-weight: bold;\">Application for grant of certificate of registration:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>Every IP needs to have a certificate of registration issued by the Board.<\/p>\n<\/li>\n<li>\n<p><span style=\"font-weight: bold;\">Any unregistered IP<\/span>, falling within the scope of these Regulations, can continue or carry its activities only:<\/p>\n<ul style=\"list-style-type: circle;\">\n<li>\n<p>for a period of 6 month from the date of commencement of these regulations; or<\/p>\n<\/li>\n<li>\n<p>If it has applied for registration within 6 months.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p>Along with the application, the applicant will submit a compliance assessment report, issued during preceding 12 months by an independent external auditor, conforming adherence to International Organization of Securities Commissions Principles for Financial Benchmarks.<\/p>\n<p>In case of failure to submit such report, the applicant will provide the reasons to the Board with an undertaking to submit the report within 6 months from the date of grant of certification of registration.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p style=\"font-weight: bold;\">Eligibility:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>Applicant should be an entity incorporated under <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002766251\" target=\"_blank\" rel=\"noopener\">Companies Act, 2013<\/a> or should be incorporated with an equivalent legislation in the country of incorporation; or<\/p>\n<\/li>\n<li>\n<p>Applicant has a minimum net worth of Rs. 25 crores or an equivalent amount in the currency of the country in which the applicant is incorporated.<\/p>\n<\/li>\n<li>\n<p>Applicant has a proper infrastructure and adequate number of human resources.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p><span style=\"font-weight: bold;\">Grant of certificate of registration:<\/span> The Board can grant the certificate in Form B of 1<span style=\"vertical-align: super;\">st<\/span> Schedule, sending a intimation to the applicant, which will be valid unless suspended\/ cancelled by the Board.<\/p>\n<\/li>\n<li>\n<p style=\"font-weight: bold;\">Fees-<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>For Application for <span style=\"font-weight: bold;\">grant of registration-<\/span> Rs. 50, 000<\/p>\n<\/li>\n<li>\n<p>For <span style=\"font-weight: bold;\">Registration<\/span>&#8211; Rs. 25.00,000<\/p>\n<\/li>\n<li>\n<p>For <span style=\"font-weight: bold;\">Recuring Registration<\/span> (for every 3 years)- Rs. 15,00,000<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p>In case the certificate is not granted by the Board, the decision and the grounds for rejection should be communicated to the applicant within 30 days of the decision.<\/p>\n<\/li>\n<li>\n<p style=\"font-weight: bold;\">Oversight Commitee:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>It will be constituted to govern all aspects of benchmark determination process.<\/p>\n<\/li>\n<li>\n<p>The committee will be separate and distinct from the department dealing with day-to-day process if Index calculation and maintenance<\/p>\n<\/li>\n<li>\n<p><span style=\"font-weight: bold;\">Duties:<\/span><\/p>\n<ul style=\"list-style-type: circle;\">\n<li>\n<p>Review the need for change in the Index design or computation methodology;<\/p>\n<\/li>\n<li>\n<p>Oversee benchmark design and introduction of new financial benchmarks, results of audit and direct implementation of remedial actions recommended by those audits;<\/p>\n<\/li>\n<li>\n<p>Review procedures for cessation of an Index;<\/p>\n<\/li>\n<li>\n<p>Oversee standard procedures followed in the exercise of Expert Judgement;<\/p>\n<\/li>\n<li>\n<p>Periodical Review;<\/p>\n<\/li>\n<li>\n<p>Examine methodology.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p>A <span style=\"font-weight: bold;\">Control Framework<\/span> will be put in place for calculating, maintaining and disseminating the Index<\/p>\n<\/li>\n<li>\n<p>Under this control framework, an effective <span style=\"font-weight: bold;\">Whistle- Blowing Mechanism<\/span> will be placed to facilitate early awareness of potential misconduct and support the making of disclosures by such employees who observe any unethical practice or grave misconduct.<\/p>\n<\/li>\n<li>\n<p>In case of default, the IP will be liable for action under <span style=\"font-weight: bold;\"><a href=\"http:\/\/www.scconline.com\/DocumentLink\/WX5ZwP3b\" target=\"_blank\" rel=\"noopener\">SEBI (Intermediaries) Regulations, 2008<\/a>.<\/span><\/p>\n<\/li>\n<li>\n<p style=\"font-weight: bold;\">Forms introduced:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p><span style=\"font-weight: bold;\">First Schedule: Form A<\/span>&#8211; Application for grant of Certificate of Registration<\/p>\n<\/li>\n<li>\n<p><span style=\"font-weight: bold;\">First Schedule: Form B<\/span>&#8211; Certificate of Registration<\/p>\n<\/li>\n<li>\n<p style=\"margin-bottom: 3%;\"><span style=\"font-weight: bold;\">Second Schedule: Part A<\/span>&#8211; Amount to be paid as
