The course has been curated by Mr. Aditya Cheriyan and Mr. Oishik Bagchi, Partners, Khaitan &amp; Co. This edition of the Course will be held from December 2023 to January 2024, comprising two phases: online and offline, with a total teaching duration of over 50 hours (with 24+ hours of offline training at the GNLU campus in Gandhinagar). The Course aims to develop a strong foundational understanding of capital markets and securities laws. Participants will have the opportunity to learn about the practical aspects of capital markets practice in a law firm.<\/p>\n<p style=\"margin-bottom: 3%;\">The previous edition of the Course was successfully held from December 2022 to January 2023, in which 60 students across various universities had participated.<\/p>\n<p style=\"font-weight: bold;\">The Course shall primarily cover the following:<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>Relevant provisions of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002766251\" target=\"_blank\" rel=\"noopener\">Companies Act, 2013<\/a> and rules made thereunder, including Chapter III<\/p>\n<\/li>\n<li>\n<p><a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-9000445816\" target=\"_blank\" rel=\"noopener\">Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018<\/a><\/p>\n<\/li>\n<li>\n<p><a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-9000488884\" target=\"_blank\" rel=\"noopener\">Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015<\/a><\/p>\n<\/li>\n<li>\n<p><a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-9000893412\" target=\"_blank\" rel=\"noopener\">Securities and Exchange Board of India (Issue and Listing of Non-Convertible Securities) Regulations, 2021<\/a><\/p>\n<\/li>\n<li>\n<p><a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-9000440118\" target=\"_blank\" rel=\"noopener\">Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011<\/a><\/p>\n<\/li>\n<li>\n<p><a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-9000333744\" target=\"_blank\" rel=\"noopener\">Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015<\/a><\/p>\n<\/li>\n<li>\n<p>Relevant provisions and concepts under the United States Securities Act of 1933<\/p>\n<\/li>\n<li>\n<p>Relevant provisions of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002768479\" target=\"_blank\" rel=\"noopener\">Securities Contracts (Regulation) Act, 1956<\/a> and the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-9000360404\" target=\"_blank\" rel=\"noopener\">Securities Contracts (Regulation) Rules, 1957<\/a><\/p>\n<\/li>\n<li>\n<p>Relevant provisions of the <a href=\"https:\/\/www.scconline.com\/DocumentLink.aspx?q=JTXT-0002806288\" target=\"_blank\" rel=\"noopener\">Foreign Exchange Management Act, 1999<\/a>, and rules made thereunder<\/p>\n<\/li>\n<li>\n<p>Dispute resolution under securities laws<\/p>\n<\/li>\n<li>\n<p>Basics of valuation<\/p>\n<\/li>\n<li>\n<p>How to read financial statements<\/p>\n<\/li>\n<li>\n<p>Understanding basics of corporate M&amp;A, Private Equity and Angel Investments<\/p>\n<\/li>\n<li>\n<p style=\"margin-bottom: 3%;\">IFSCA: Regulatory framework and capital market offerings at GIFT IFSC<\/p>\n<\/li>\n<\/ul>\n<p style=\"font-weight: bold;\">Course Duration<\/p>\n<ul style=\"list-style-type: disc;\">\n<li>\n<p>50+ hours of total teaching duration<\/p>\n<\/li>\n<li>\n<p>24+ hours of classroom training at the GNLU campus, Gandhinagar<\/p>\n<\/li>\n<li>\n<p>The online session will commence on December 02, 2023 (sessions will be on weekends)<\/p>\n<\/li>\n<li>\n<p style=\"margin-bottom: 3%;\">The offline sessions will be from January 26 to January 30, 2024 at the GNLU campus in Gandhinagar<\/p>\n<\/li>\n<\/ul>\n<p style=\"font-weight: bold;\">Evaluation<\/p>\n<p style=\"margin-bottom: 3%;\">Evaluation would be based on (i) active participation and interaction during the sessions; and (ii) written assessment involving: (a) application-based problem solving; (b) drafting exercise; and (c) an examination based on course curriculum.<\/p>\n<p style=\"margin-bottom: 3%;\">A minimum of 80% attendance is mandatory for obtaining the course certificate, credit score and internship opportunity with Khaitan &amp; Co.<\/p>\n<p style=\"font-weight: bold;\">Internship Opportunity<\/p>\n<p style=\"margin-bottom: 3%;\">Top performing eligible candidates shall get an internship opportunity at Khaitan &amp; Co with their Capital Markets team.
