Co advised Tata Communications Limited in relation to acquisition of 100% of the shares of Kaleyra Inc. for USD 113 million and the assumption of all outstanding debt.<\/p>\n<p>The Firm was involved in the following:<\/p>\n<ol class=\"laparent\">\n<li>Acting as legal counsel to Tata Communications Limited for the overall transaction (including negotiating, drafting, and reviewing of definitive agreements);<\/li>\n<li>Conducting legal due diligence on Solutions Infini Technologies (India) Private Limited, a wholly owned subsidiary of Kaleyra SPA;<\/li>\n<li>Advising on aspects relating to structure and layering of the subsidiaries; and<\/li>\n<li style=\"margin-bottom: 3%;\">Assisting with corporate compliances and execution of the transaction along with other ancillary documents.<\/li>\n<\/ol>\n<p style=\"\">The transaction team was led by Sharad Abhyankar (Partner), Bhavya Bhankharia (Principal Associate), and Murugaveni Pillai (Senior Associate), with assistance from the following:<\/p>\n<p style=\"margin-left: 36pt;\">Moin Ladha (Partner) and Tanish Prabhakar (Associate) on the FEMA related aspects;
