On 17-4-2023, the Ministry of Corporate Affairs notified the Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2023 to amend the Companies (Removal of Names of Companies from the Register of Companies) Rules, 2016<\/a>. The provisions will come into force on 1-5-2023.<\/p>\n

Key Points:<\/b><\/p>\n

  1. \n

    Rule 4 (1) relating to Application for removal of name of company<\/b> has been revised which says that an application for removal of name of company under Section 248 (2) will now be made to the Registrar, Centre for Processing Accelerated Corporate Exit<\/b> in Form No. STK-2 with a fee amounting to Rs. 10,000.<\/p>\n<\/li>\n

  2. \n

    Rule 4 (3-A) relating to Application for removal of name of company<\/b> has been inserted. The Registrar, Centre for Processing Accelerated Corporate Exit will be established under Section 396 (1)<\/b> and this Registrar of Companies has the power of exercising functional jurisdiction of processing and disposal of applications made in Form No. STK-2 and all matters related to Section 248 having territorial jurisdiction all over India.<\/p>\n<\/li>\n

  3. \n

    Form No. STK- 2<\/b> relating to “Application by company to ROC for removing its name from register of companies” has been revised.<\/p>\n<\/li>\n

  4. \n

    Form No. STK- 6<\/b> (Public Notice) has been revised.<\/p>\n<\/li>\n
