Eastern Book Company released the second edition of the landmark book on Insolvency and Bankruptcy Law – titled <\/span>Insolvency and Bankruptcy Code: Law and Practice by Akaant K Mittal.<\/span><\/b> The virtual launch of the book took place on January 21, 2023, in the revered presence of eminent personalities such as Justice Ashok Bhushan, Chairman NCLAT and Former Judge SC,\u00a0<\/span>Justice Rajiv Shakdher, Judge, Delhi High Court. The event also saw the presence of Mr. Gopal Jain, Senior Advocate, Supreme Court, Mr. Bishwajit Dubey, Partner, CAM, Dr. Sanjeev Gemawat, GC, Vedanta Group, Dr Neeti Shikha, Faculty Lecturer, University of Bradford and Ms. Haripriya Padmanabhan, Advocate, Supreme Court.<\/span>\u00a0<\/span><\/p>\n

The Book launch was followed by the panel discussion on the topic \u2018Proposed Changes to IBC in upcoming Budget Session\u2019<\/span>.<\/span> \u00a0<\/span><\/i>The event began with Ms. Nilufer Bhateja, Associate Editor, EBC Publishing Pvt Ltd., giving a welcome address and introducing all the panelists. Following this, Mr. Sumeet Malik, Director at EBC Publishing Pvt Ltd. addressed the viewers with insights on how this book is seminal in the interpretation of\u00a0Insolvency and Bankruptcy Law. Mr. Malik said that he believes this book is evolving as an authoritative title on the subject, having earned high praise from Justice Suryakant, Justice Ravindra Bhat, Justice Pradeep Deshmukh and Mr Cyril Shroff in a very short<\/span> period.\u00a0<\/span>\u00a0<\/span><\/p>\n

The event progressed with the address of Justice Bhushan who mentioned that <\/span>IBC law is a new law on the horizon as it has been only 6 years since it was enforced\u00a0and<\/span> the\u00a0<\/span>speed with which it has picked pace within a few years is commendable. He mentioned that the 2nd edition of the newly released book contains all the recent judgments which clears all the doubts in the minds of the stakeholders. Further, he expressed gratitude towards the Eastern Book Company and its Editorial Board, stating that <\/span>\u201cWhenever we have to refer, we go for Eastern Book Company books and all lawyers use SCC for all the latest laws of the Supreme Court\u201d.(sic)<\/span><\/i>\u00a0<\/span><\/p>\n

Justice Rajiv Shakdher, the Guest of Honour, congratulated the author for his outstanding work and shared his views on IBC. He remarked that earlier debtors who couldn\u2019t pay back were decapitated but society has moved on and become much more civilized since then. Enactments were made all over the world with the idea being anybody who is an individual or a corporate deserves a clean slate in life, if they have not siphoned off or diverted any money and just because of misfortune or errors of judgment\u00a0their business has gone down then, so they deserve to restart their life. Justice Shakdher then went on to discuss the state of the current law and how to improve upon the same. <\/span> He appreciated Mr. Akaant Mittal on enlisting few major areas where improvement is needed. He further appreciated the book, its quality of print, and not being able to find any errors in the book.<\/span>\u00a0<\/span><\/p>\n

The welcome address of Justice Bhushan and Justice Shakdher was followed by the official book release. The panel discussion moderated commenced after that.<\/span>\u00a0<\/span><\/p>\n

Ms. Padmanabhan began the panel discussion by putting the first question to Justice Shakdher relating responsibilities being put on CoC or the Committee of Creditors and whether it is time for COC to be diluted and someone else to be given a larger responsibility for resolution. <\/span>Justice Shakdher finds this to be\u00a0common to the jurisdictions all over the world.\u00a0 He said that creditors generally don\u2019t have any role unless there is any financial loss in the company. Only when \"\"the net-worth of the Company is not intact, the role of creditors come into play. He went on to emphasize that the Code has not changed anything. The decision is to be taken by them (COC) that how much haircut they will take. Justice Shakdher identified the problem\u00a0that creditors\u00a0are not looking at rehabilitation of the company but only for recovery of their dues, therefore, the problem doesn\u2019t lie here (in India) because most of the major creditors of the bigger corporates are Banks which are controlled by the Government and\u00a0the Government has to decide whether they\u00a0want them to act independently. <\/span><\/p>\n

Moving ahead, Ms Padmanabhan asks Justice Bhushan the\u00a0main reason for NCLAT and NCLT to be overburdened with\u00a0cases. Justice Bhushan\u00a0identified the main reason\u00a0was that the current law gives very little time to the Resolution \"\"Professionals to verify the claims. He also said that Resolution Professionals should be well trained and with technical knowledge so that less pressure falls upon the courts and tribunals. The moderator Ms Padmanabhan concluded by saying that hopefully, in the future amendments to the law, the time given to verify claims by the Resolution Professionals will be increased which will lead to less applications being filed by the claimants and less clogging of the courts.<\/span>\u00a0<\/span><\/p>\n

On the question of that the proposed amendment is putting the Information Utility at a very high pedestal and is it going to add more complexity to which Dr. Neeti answers that it is a great move to make IU compulsory and information is important to us. Therefore, Information Utility is the backbone of IBC. Dr Neeti further went on to state that we need a\"\" paradigm shift on how we look at IBC. She said that we need a sector specific approach and not one size fits all approach. She also brought to the notice of the panel that evidence is required to make change in policy and experiences cannot be used to make quick fix changes or tweak the law. Policy should be based on evidence and not experience. She highlighted the issue that data is not available in public domain and therefore researchers and policymakers find it difficult to guide the government correctly. <\/span>\u00a0<\/span><\/p>\n

Ms. Padmanaban next questions Mr\u00a0Jain about his opinion on Information Utility (IU) and\u00a0the concerns in\u00a0making IU\u00a0mandatory prior to filing the insolvency petition. Mr Jain answers by saying\u00a0that the<\/span> IBC is an evolving landscape as it \"\"has seen many amendments, thus, it is a work in progress. He said that the intent of IU might be good but making it mandatory may be an issue. He reiterated that we\u00a0must be very practical, for example, the timelines are laudable but in the Indian aspect, it is very unrealistic as there are delays and backlogs. Therefore, the moment things are made on autopilot perhaps it will hasten the whole process, so we all need to see the upside and then maybe it would be\u00a0worth giving a shot.<\/span>\u00a0<\/span><\/p>\n

Taking the discussion ahead, Ms. Padmanabhan asks Mr. Dubey about who is responsible for resolution not taking place usually and instead\u00a0companies being liquidated. Mr. Dubey says that<\/span> the cases are going the liquidation way due to\"\" certain reasons like where promotors have been negligent about business or where delays happen due to\u00a0unnecessary litigation for various reasons. He said that\u00a0delays result in making the Committee of Creditors feel that it is better for the company to be put in liquidation.<\/span>\u00a0<\/span><\/p>\n

Dr Sanjeev Gemawat, General Counsel, Vedanta Group<\/b>\u00a0<\/span><\/p>\n

\"\"The next question is put to Dr Gemawat that from point of view of the resolution applicant, what is the Act\u2019s biggest deterrent for the companies to go ahead and resolve. Dr Gemawat says that it is the m<\/span>arket dynamics that determine whether there will be liquidation or revival. Any data taken need to analyse with market conditions. Data suggest that in the 6-7 years period, out of nearly 6000 CIRPs, 4000 are resolved through settlement or withdrawal, 2000 are still ongoing and revival is less than 12 percent which is a fundamental issue.<\/span> As an industry representative, he felt there was uncertainty in the whole process regarding resolution plan starting from lack of requisite information for preparing the plan to delays during the adjudication process to the implementation phase. There is confusion at all stages. Hence, approved resolution plans do not get the status which they should get. <\/span><\/p>\n

Ms. Padmanabhan asks Mr Mittal about\u00a0the most substantial change in IBC while drafting the second edition.<\/span> Mr Mittal shares that<\/span>\u00a0the change from first edition to second edition is that the nexus between COC and the Resolution\"\" Professional (RP) has really aggravated the position of IBC. He also agrees with Dr. Shikha\u00a0that the approach towards IBC is not correct. Out of 30,000 applications filed, 17,000 have been withdrawn which shows some resolution was achieved. He commented that government should not get into over-regularization with the newly proposed amendments. He was not in favour of government forming National ARCs and said that instead role of RAs should be evolved and expanded. <\/span>\u00a0<\/span><\/p>\n
