Centre for Research and Training in Corporate Regulations (CTRCR) of Maharashtra National Law University Mumbai invites registrations for three months online certificate course from February to May 2023<\/span>. We welcome registrations from Working Professionals, Business Executives, Bankers, CA, CS, Academicians, Legal Practitioners, along with undergraduate and postgraduate students of law, commerce and management, for the course on Mergers & Acquisitions.<\/p>\n

About MNLU Mumbai:<\/p>\n

Maharashtra National Law University Mumbai, established under the Maharashtra Act VI of 2014, is one of the premier National Law Universities in India. Hon’ble Dr. Justice D.Y. Chandrachud, Chief Justice of India, is the Chancellor of the University who guides and inspires the institution with his novel ideas and rich experience in the law field. The goal of the University is to disseminate advanced legal knowledge and processes of law amongst the students and impart contemporary skills and make capable to utilize these instruments for social transformation. In recent years, the university has established various Centres for advancing research in practical orientation of law.<\/p>\n

About the Centre conducting the Course:<\/p>\n

The Centre for Training and Research in Commercial Regulations (CTRCR) promotes discussion, training, and research in areas of Commercial Law and allied areas by bringing together academicians, professionals, economists, regulators, judges, and students. Our aim is to discuss, debate and spread awareness about contemporary changes and challenges faced by different businesses in the Indian and International Market.<\/p>\n

About the Course on Mergers & Acquisitions:<\/p>\n

Growth is the desired result of any business organization and merger and acquisition (M&A) is the usual procedure for expansion. That is why it is assumed that every company has inherent right to merge. Companies quickly increase its size, service area, talent pool, customer base, and resources through M&A. The process is very costly, hence the businesses need to be sure about the processes and the pitfalls, if any. This course is to make aware about the various legal, accounting and tax implications involved in M&A along with human resource and public policy concepts. The students should have knowledge of basic accounting, economics, and financial management concepts and tools.<\/p>\n

About the Faculty for the Course:<\/p>\n

Prof (Dr.) Kiran Rai would be the course director of the program and main instructor. She is Associate Professor of Law and is the Head of Under-Graduate department at MNLU Mumbai. She specializes in the area of Business Laws. Before joining MNLU Mumbai, she has worked as Dean at School of Law, Galgotias University, Noida and has also worked with Nirma University and ICFAI Business School, Ahmedabad. She has many awards to her credit. Besides having authored numerous research papers and books, she has done extensive research in Corporate Governance, and Insolvency and Bankruptcy Code. She has mobilized funds and collaborated with prestigious Government organizations.<\/p>\n

1. Reconstruction of Company, Mergers, Types of Mergers, Amalgamation, Acquisition, Joint Ventures, Demergers<\/p>\n

2. Role of SEBI in Mergers and Acquisitions, SEBI Takeover Code, SEBI Act, SCRA Act (Securities and Stock exchanges), LODR, ICDR<\/p>\n

3. Allied Areas in M&A, Role of CCI, Role of RBI, Tax Implications, Valuation, Stamp Duty<\/p>\n

4. Legal Due Diligence, Risk Allocation, Investor Protection (representations, warranties and indemnity)<\/p>\n

5. Transacting Documents of Mergers and understanding associated Documents<\/p>\n

    Various valuation techniques involved and their practical limitations;<\/p>\n<\/li>\n

    Tax benefits in various types of structuring<\/p>\n<\/li>\n

    Post-Merger Challenges, human resource and other risks, insurance schemes;<\/p>\n<\/li>\n

  7. \n

    Joint ventures as alternatives to mergers and acquisitions.<\/p>\n<\/li>\n<\/ol>\n

    Teaching Pedagogy:<\/p>\n

    The programme would be conducted online through Google Classroom and\/or WebEx. The classes would be from 8 AM to 9 AM and there will be minimum 30 hrs of teaching. There would be guest speakers from law firms, CA and senior tax consultants. This may result in some rescheduling at times. Minimum 75% attendance is mandatory for completion and award of course certificate. Evaluation for all is not compulsory but those who wish to be evaluated, grading system will have Research Paper, Seminar Presentation, Class Participation and End Term Exam.<\/p>\n
