November 15, 2022, issued the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (Sixth Amendment) Regulations, 2022 to further amend the <a href=\"http:\/\/www.scconline.com\/DocumentLink\/sp93qLK4\">Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015<\/a>.<\/p>\n<h4 style=\"text-align: justify;\"><strong>Key points: <\/strong><\/h4>\n<ul>\n<li style=\"text-align: justify;\">A proviso has been inserted in Regulation 25(2A) which provides that appointment, re-appointment or removal of an independent director of a listed entity, shall be subject to the approval of shareholders by way of a special resolution:<\/li>\n<\/ul>\n<p style=\"text-align: justify; padding-left: 40px;\">\u201cProvided that where a special resolution for the appointment of an independent director fails to get the requisite majority of votes but the votes cast in favour of the resolution exceed the votes cast against the resolution and the votes cast by the public shareholders in favour of\u00a0 the\u00a0 resolution\u00a0 exceed\u00a0 the\u00a0 votes\u00a0 cast\u00a0 against the\u00a0 resolution,\u00a0 then\u00a0 the\u00a0 appointment\u00a0 of such an independent director shall be deemed to have been made under sub-regulation<\/p>\n<p style=\"text-align: justify; padding-left: 40px;\">Provided\u00a0 further\u00a0 that\u00a0 an\u00a0 independent\u00a0 director\u00a0 appointed\u00a0 under\u00a0 the\u00a0 first\u00a0 proviso\u00a0 shall\u00a0 be removed only\u00a0 if the votes cast in favour\u00a0 of the\u00a0 resolution proposing the removal exceed\u00a0 the votes\u00a0 cast\u00a0 against\u00a0 the\u00a0 resolution\u00a0 and the\u00a0 votes\u00a0 cast\u00a0 by\u00a0 the\u00a0 public\u00a0 shareholders\u00a0 in\u00a0 favour\u00a0 of the resolution exceed the votes cast against the resolution\u201d<\/p>\n<ul>\n<li style=\"text-align: justify;\">Regulation 32 which specifies the statement of deviation(s) or variation(s), under Sub-regulation (6) and (7), in the monitoring of utilisation of proceeds, the proceeds of preferential issue or qualified institutions placement have been included along with public issue or rights issue.<\/li>\n<li style=\"text-align: justify;\">A proviso has been inserted in Regulation 52 which provides that the listed entity shall prepare and submit unaudited or audited quarterly and year to date standalone financial results on a quarterly basis in the format as specified by the Board within forty-five days from the end of the quarter, other than last quarter, to the recognized stock exchange(s):<\/li>\n<\/ul>\n<p style=\"padding-left: 40px;\">\n<span id=\"page17R_mcid16\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">&#8220;Provided that for the last quarter of the financial year, the listed entity shall submit <\/span><span dir=\"ltr\" role=\"presentation\">unaudited or audited quarterly and year to date standalone financial results within <\/span><span dir=\"ltr\" role=\"presentation\">sixty days from the end of the quarter to the recognised stock exchange(s):\u201d<\/span><\/span><\/p>\n<ul>\n<li style=\"text-align: justify;\">Regulation 59A has been introduced which states \u201cDraft Scheme of Arrangement and Scheme of
