{"id":267660,"date":"2022-05-31T15:30:58","date_gmt":"2022-05-31T10:00:58","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=267660"},"modified":"2022-05-31T12:50:20","modified_gmt":"2022-05-31T07:20:20","slug":"new-form-caa-16-introduced-vide-companies-compromises-arrangements-and-amalgamations-amendment-rules-2022","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2022\/05\/31\/new-form-caa-16-introduced-vide-companies-compromises-arrangements-and-amalgamations-amendment-rules-2022\/","title":{"rendered":"New Form CAA-16 introduced vide Companies (Compromises, Arrangements and Amalgamations) Amendment Rules, 2022"},"content":{"rendered":"<p style=\"text-align: justify;\"><span id=\"page1R_mcid96\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">The Central Government notified C<\/span><span dir=\"ltr\" role=\"presentation\"><span id=\"page1R_mcid97\" class=\"markedContent\">ompanies (Compromises, Arrangements and Amalgamations) Amendment Rules, 2022 <\/span><\/span>in order <span dir=\"ltr\" role=\"presentation\">to<\/span> <span dir=\"ltr\" role=\"presentation\">amend<\/span> <span dir=\"ltr\" role=\"presentation\">the<\/span> <a href=\"http:\/\/www.scconline.com\/DocumentLink\/L1fmFMoz\"><span dir=\"ltr\" role=\"presentation\">Companies<\/span> <span dir=\"ltr\" role=\"presentation\">(Compromises,<\/span> <span dir=\"ltr\" role=\"presentation\">Arrangements<\/span> <span dir=\"ltr\" role=\"presentation\">and <\/span><\/a><span dir=\"ltr\" role=\"presentation\">Amalgamations) Rules, 2016:<br \/>\n<\/span><\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span id=\"page5R_mcid0\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">In the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016<\/span><span dir=\"ltr\" role=\"presentation\">, in rule 25A which deals with <b>Merger or amalgamation of a foreign company with a Company and vice versa<\/b>, the following sub-rule shall be inserted: <\/span><\/span><span id=\"page5R_mcid1\" class=\"markedContent\"><br role=\"presentation\" \/><\/span><\/li>\n<\/ul>\n<p style=\"padding-left: 40px; text-align: justify;\"><span id=\"page5R_mcid1\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">(4) Notwithstanding anything contained in sub<\/span><span dir=\"ltr\" role=\"presentation\">-rule (3), in case of a compromise or an arrangement <\/span><span dir=\"ltr\" role=\"presentation\">or merger or demerger between an Indian company and a company or body corporate which has been <\/span><span dir=\"ltr\" role=\"presentation\">incorporated in a country which shares land border with India, a declaration in Form No. CAA-16 <\/span><span dir=\"ltr\" role=\"presentation\">shall be required at the stage of submission of application under section 230 of the Act.<\/span><\/span><\/p>\n<ul>\n<li><span id=\"page5R_mcid2\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\"> <span id=\"page5R_mcid3\" class=\"markedContent\">FORM NO. CAA.16<\/span> shall be inserted in Annexure A dealing with <span id=\"page5R_mcid6\" class=\"markedContent\">Declaration in terms of Rule 25A<\/span>.<br
