On 11th<\/sup> April, 2022, Securities and Exchange Board of India issues Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (3rd<\/sup> Amendment) Regulations, 2022. This regulation comes into effect with immediate effect and aims to replace \u201casset cover\u201d with \u201csecurity cover\u201d for the listed debt with Securities and Exchange Board of India (SEBI<\/strong>). Asset cover certificate is used to monitor the adequacy of assets charged against the debt obligations of the person issuing it. It is submitted to the Debenture Trustee.<\/p>\n

Key amendments:<\/strong><\/span><\/h4>\n
    \n
  • According to regulation 54<\/strong>, \u201cAsset cover\u201d is the ability of any entity in which it is able to repay debt obligations. It is the extent to which the company\u2019s assets regulate risk management.<\/li>\n
  • By regulation 3, \u201cAsset cover<\/u>\u201d is replaced by \u201csecurity cover<\/u>\u201d in regulation 54<\/strong>.<\/li>\n
  • Listed entities are under the obligation to provide documents and certificates. The debt securities are non-convertible and the \u201casset cover<\/u>\u201d has to be maintained at cent percent or at a higher rate.<\/li>\n
  • As per the provisions of regulation 54(2)<\/strong> asset cover certificate and statement of value of pledged securities need to be submitted in quarterly, half-yearly, year-to-date<\/u><\/em>.<\/li>\n
  • Following are the amendments that are to be incorporated in regulation 54<\/strong><\/u>–\n
      \n
    1. in sub-regulation (1),<\/li>\n
    2. before the words and symbols \u201clisted non-convertible debt securities\u201d, the word \u201csecured\u201d shall be inserted;<\/li>\n
    3. the words \u201casset cover or higher asset cover\u201d shall be replaced with the word \u201csecurity cover or higher security cover\u201d;<\/li>\n
    4. after the words \u201cprincipal amount\u201d, the words \u201cand the interest thereon\u201d shall be inserted;<\/li>\n
    5. in sub-regulation (3), the words \u201casset cover\u201d shall be replaced with the words \u201csecurity cover\u201d.<\/li>\n<\/ol>\n<\/li>\n<\/ul>\n
        \n
      • The listed entities have to forward the documents and intimations to the debenture trustees under regulation 56<\/strong> of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.<\/li>\n
      • \u201cAsset cover<\/u>\u201d is maintained at hundred percent or higher capacity offer document\/ Information Memorandum and\/or Debenture Trust Deed.<\/li>\n
      • In regulation 56(1)(d)<\/strong>, the words \u201casset cover or higher asset cover\u201d is replaced with the words \u201csecurity cover or higher security cover\u201d.<\/li>\n<\/ul>\n
