{"id":263195,"date":"2022-03-05T10:42:06","date_gmt":"2022-03-05T05:12:06","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=263195"},"modified":"2022-03-05T10:41:52","modified_gmt":"2022-03-05T05:11:52","slug":"provisions-for-conducting-general-meetings-through-audio-visual-means-introduced-vide-life-insurance-corporation-of-india-general-amendment-rules-2022","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2022\/03\/05\/provisions-for-conducting-general-meetings-through-audio-visual-means-introduced-vide-life-insurance-corporation-of-india-general-amendment-rules-2022\/","title":{"rendered":"Provisions for conducting general meetings through audio-visual means introduced vide Life Insurance Corporation of India General (Amendment) Rules, 2022"},"content":{"rendered":"<p style=\"text-align: justify;\"><span id=\"page17R_mcid95\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">The Central Government notifies Life Insurance Corporation of India General (Amendment) Rules, 2022 in order to amend the <a href=\"http:\/\/www.scconline.com\/DocumentLink\/tuo6UsJ3\">Life Insurance <\/a><\/span><span dir=\"ltr\" role=\"presentation\">Corporation of India General Rules, 1956 and introduce the provisions for audio visual means for conducting general meetings.<br \/>\n<\/span><\/span><\/p>\n<p style=\"text-align: justify;\">\n<p style=\"text-align: justify;\">Key amendments:<\/p>\n<ul style=\"text-align: justify;\">\n<li style=\"text-align: justify;\"><span id=\"page17R_mcid98\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">In the <a href=\"http:\/\/www.scconline.com\/DocumentLink\/tuo6UsJ3\">Life Insurance Corporation of India General Rules, 1956<\/a>, in rule 2, <\/span><span dir=\"ltr\" role=\"presentation\">in sub-rule (1),<\/span><span dir=\"ltr\" role=\"presentation\"> the <\/span><\/span><span id=\"page17R_mcid99\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">following clauses shall be inserted, namely:<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><\/span><span id=\"page17R_mcid100\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">\u2018<\/span><span dir=\"ltr\" role=\"presentation\">(ib)<\/span> <span dir=\"ltr\" role=\"presentation\">\u201c<\/span><strong><span dir=\"ltr\" role=\"presentation\">audio-visual means<\/span><\/strong><span dir=\"ltr\" role=\"presentation\">\u201d<\/span> <span dir=\"ltr\" role=\"presentation\">means video conferencing and such other means of audio-visual electronic <\/span><span dir=\"ltr\" role=\"presentation\">communication<\/span> <span dir=\"ltr\" role=\"presentation\">which<\/span> <span dir=\"ltr\" role=\"presentation\">enable<\/span> <span dir=\"ltr\" role=\"presentation\">all<\/span> <span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">persons<\/span> <span dir=\"ltr\" role=\"presentation\">participating<\/span> <span dir=\"ltr\" role=\"presentation\">in<\/span> <span dir=\"ltr\" role=\"presentation\">a<\/span> <span dir=\"ltr\" role=\"presentation\">meeting<\/span> <span dir=\"ltr\" role=\"presentation\">to<\/span> <span dir=\"ltr\" role=\"presentation\">communicate <\/span><span dir=\"ltr\" role=\"presentation\">concurrently with each other without an intermediary and to participate effectively in the <\/span><span dir=\"ltr\" role=\"presentation\">meeting;<\/span><\/span><\/li>\n<\/ul>\n<p style=\"padding-left: 40px; text-align: justify;\"><span id=\"page19R_mcid3\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">\u2018<\/span><span dir=\"ltr\" role=\"presentation\">(iib)<\/span> <span dir=\"ltr\" role=\"presentation\">\u201c<strong>special business<\/strong>\u201d mean<\/span><span dir=\"ltr\" role=\"presentation\">s,<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><\/span><span id=\"page19R_mcid4\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(a)<\/span> <span dir=\"ltr\" role=\"presentation\">in respect of an annual general meeting, all business to be transacted thereat other than <\/span><span dir=\"ltr\" role=\"presentation\">items of business specified in sub-section (2) of section 23A of the Act; and<\/span><\/span><span id=\"page19R_mcid5\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(b)<\/span> <span dir=\"ltr\" role=\"presentation\">in respect<\/span> <span dir=\"ltr\" role=\"presentation\">of any other general meeting, all business to be transacted thereat.\u2019<\/span><span dir=\"ltr\" role=\"presentation\">.<\/span><\/span><\/p>\n<ul style=\"text-align: justify;\">\n<li><span id=\"page19R_mcid13\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">In the said rules, the following rule shall be inserted, namely:<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><\/span><span id=\"page19R_mcid14\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">\u201c<\/span><span dir=\"ltr\" role=\"presentation\"><strong>28. General meetings<\/strong>.<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><span dir=\"ltr\" role=\"presentation\">(1) Persons entitled to attend and to exercise vote at a general meetings may also do <\/span><span dir=\"ltr\" role=\"presentation\">so through audio-visual means, for which the Corporation may adopt such procedure as a company may adopt <\/span><span dir=\"ltr\" role=\"presentation\">for holding such meetings under the framework laid down by the competent authority in the Ministry of <\/span><span dir=\"ltr\" role=\"presentation\">Corporate Affairs.<\/span><\/span><span id=\"page19R_mcid15\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(2) Save as otherwise provided for in the Act, the rules and regulations made thereunder and the procedure <\/span><span dir=\"ltr\" role=\"presentation\">under sub-rule (1), for holding a general meeting of members of the Corporation and voting for a resolution by <\/span><span dir=\"ltr\" role=\"presentation\">the members, the Corporation shall also observe such secretarial standards as are applicable to a company for <\/span><span dir=\"ltr\" role=\"presentation\">holding general meetings under sub-section (10) of section 118 of the Companies Act.<\/span><\/span><span id=\"page19R_mcid16\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(3) The notice for a general meeting of the Corporation shall be issued by the Company Secretary, or by such <\/span><span dir=\"ltr\" role=\"presentation\">director or other officer of the Corporation as the Board may authorise in this behalf.<\/span><\/span><span id=\"page19R_mcid17\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(4) Every notice of a general meeting of the Corporation shall be issued in like manner as is provided for a <\/span><span dir=\"ltr\" role=\"presentation\">general meeting of a company under section 101 of the Companies Act and, if any item of special business is to <\/span><span dir=\"ltr\" role=\"presentation\">be transacted thereat, a statement as provided for in sub-sections (1) and (3) of section 102 of the Companies <\/span><span dir=\"ltr\" role=\"presentation\">Act shall be annexed to the notice.<\/span><\/span><span id=\"page19R_mcid18\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(5) Every notice for a general meeting shall be accompanied by<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><\/span><span id=\"page19R_mcid19\" class=\"markedContent\"><\/span><\/li>\n<\/ul>\n<p style=\"padding-left: 80px;\"><span id=\"page19R_mcid19\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(a)<\/span> <span dir=\"ltr\" role=\"presentation\">an attendance slip in Form 3; and<\/span><\/span><span id=\"page19R_mcid20\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(b)<\/span> <span dir=\"ltr\" role=\"presentation\">a proxy form in Form 4, <\/span><\/span><span id=\"page19R_mcid21\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">set out in the Schedule to these rules, along with instructions for filling and submitting the same.<\/span><\/span><span id=\"page19R_mcid22\" class=\"markedContent\"><br role=\"presentation\" \/><\/span><\/p>\n<p style=\"padding-left: 40px;\"><span id=\"page19R_mcid22\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">(6) The Chairperson shall be the chairman of a general meeting of the Corporation:<\/span><\/span><\/p>\n<p style=\"padding-left: 80px; text-align: justify;\"><span id=\"page21R_mcid0\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">Provided that in the absence of the Chairperson, or if at any meeting he is not present within fifteen <\/span><span dir=\"ltr\" role=\"presentation\">minutes of the time appointed for holding the meeting, or if he is unwilling to chair the meeting, the directors <\/span><span dir=\"ltr\" role=\"presentation\">present may choose one amongst themselves to be the chairman:<\/span><\/span><span id=\"page21R_mcid1\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">Provided further that in the event of default on the part of the Chairperson and directors present in <\/span><span dir=\"ltr\" role=\"presentation\">chairing the meeting as aforesaid, or if no director is present, the members present shall choose one amongst <\/span><span dir=\"ltr\" role=\"presentation\">themselves to be the chairman:<\/span><\/span><span id=\"page21R_mcid2\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">Provided also that if a poll is demanded in accordance with clause (b) of sub-rule (9) for choosing the <\/span><span dir=\"ltr\" role=\"presentation\">member to chair the meeting under the second proviso of this sub-rule, it shall be taken forthwith and the <\/span><span dir=\"ltr\" role=\"presentation\">person elected as a result of the poll shall be the chairman.<\/span><\/span><span id=\"page21R_mcid3\" class=\"markedContent\"><\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span id=\"page21R_mcid3\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">(7) Subject to the provisions of sub-section (1) of section 4C,<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><\/span><span id=\"page21R_mcid4\" class=\"markedContent\"><br role=\"presentation\" \/><\/span><\/p>\n<p style=\"padding-left: 80px; text-align: justify;\"><span id=\"page21R_mcid4\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">(a)<\/span> <span dir=\"ltr\" role=\"presentation\">every member shall have a right to vote on every resolution placed before the Corporation in a <\/span><span dir=\"ltr\" role=\"presentation\">general meeting; and<\/span><\/span><span id=\"page21R_mcid5\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(b)<\/span> <span dir=\"ltr\" role=\"presentation\">his voting right on a poll shall be in proportion to his share in the paid-up equity share capital of <\/span><span dir=\"ltr\" role=\"presentation\">the Corporation:<\/span><\/span><span id=\"page21R_mcid6\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">Provided that a member shall not be entitled to any voting rights in respect of any amount paid by him <\/span><span dir=\"ltr\" role=\"presentation\">for the whole or a part of the amount remaining unpaid on any shares by him, until the amount paid has been <\/span><span dir=\"ltr\" role=\"presentation\">called up.<\/span><\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span id=\"page21R_mcid7\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">(8) At a general meeting, a resolution put to the vote of the meeting shall, unless a poll is demanded under sub- <\/span><span dir=\"ltr\" role=\"presentation\">rule (9) or voting is done through electronic means under the procedure referred to in sub-rule (1) or the <\/span><span dir=\"ltr\" role=\"presentation\">secretarial standards referred to in sub-rule (2), be decided on a show of hands, and a declaration by the <\/span><span dir=\"ltr\" role=\"presentation\">chairman of the passing of a resolution or otherwise by show of hands and an entry to that effect in the books <\/span><span dir=\"ltr\" role=\"presentation\">containing the minutes of the meeting shall be conclusive evidence of the fact of passing of such resolution or <\/span><span dir=\"ltr\" role=\"presentation\">otherwise.<\/span><\/span><span id=\"page21R_mcid8\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(9) Before or on the declaration of the result of the voting on any resolution on show of hands in a general<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">meeting, a poll<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><\/span><span id=\"page21R_mcid9\" class=\"markedContent\"><\/span><\/p>\n<p style=\"padding-left: 80px; text-align: justify;\"><span id=\"page21R_mcid9\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(a)<\/span> <span dir=\"ltr\" role=\"presentation\">may be ordered to be taken by the chairman on his own motion; and<\/span><\/span><span id=\"page21R_mcid10\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(b)<\/span> <span dir=\"ltr\" role=\"presentation\">shall be ordered to be taken by him on a demand made in that behalf by members present <\/span><span dir=\"ltr\" role=\"presentation\">thereat or by proxy, who<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><\/span><span id=\"page21R_mcid11\" class=\"markedContent\"><\/span><\/p>\n<p style=\"padding-left: 120px; text-align: justify;\"><span id=\"page21R_mcid11\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(i)<\/span> <span dir=\"ltr\" role=\"presentation\">have not less than such proportion of the total voting power in the Corporation; or<\/span><\/span><span id=\"page21R_mcid12\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(ii)<\/span> <span dir=\"ltr\" role=\"presentation\">hold shares on which such aggregate sum has been paid up to the Corporation, <\/span><\/span><span id=\"page21R_mcid13\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">as is provided for or prescribed under clause (a) of sub-section (1) of section 109 of the Companies Act in <\/span><span dir=\"ltr\" role=\"presentation\">respect of demand for poll by members in a company:<\/span><\/span><\/p>\n<p style=\"padding-left: 80px; text-align: justify;\"><span id=\"page21R_mcid14\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">Provided that the demand for a poll may be withdrawn at any time by the persons who made the <\/span><span dir=\"ltr\" role=\"presentation\">demand:<\/span><\/span><span id=\"page21R_mcid15\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">Provided further that a poll demanded for adjournment of the meeting or appointment of the chairman <\/span><span dir=\"ltr\" role=\"presentation\">shall be taken forthwith.<\/span><\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span id=\"page21R_mcid16\" class=\"markedContent\"><\/span><span id=\"page21R_mcid16\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">(10) A poll ordered at a general meeting of the Corporation under sub-rule (9) shall be taken in like manner as <\/span><span dir=\"ltr\" role=\"presentation\">is provided for a company under sub-sections (4) to (7) of section 109 of the Companies Act.<\/span><\/span><span id=\"page21R_mcid17\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(11) The chairman shall appoint such number of persons as he deems necessary to scrutinise the poll process <\/span><span dir=\"ltr\" role=\"presentation\">and votes given on the poll and to report thereon to him in the manner prescribed under sub-section (5) of <\/span><span dir=\"ltr\" role=\"presentation\">section 109 of the Companies Act, and such person or persons shall<\/span><span dir=\"ltr\" role=\"presentation\">\u2014<\/span><\/span><span id=\"page21R_mcid18\" class=\"markedContent\"><\/span><\/p>\n<p style=\"padding-left: 80px; text-align: justify;\"><span id=\"page21R_mcid18\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(a)<\/span><span dir=\"ltr\" role=\"presentation\">arrange for polling papers, which shall be in Form 5<\/span> <span dir=\"ltr\" role=\"presentation\">as set out in the Schedule to these rules, and <\/span><span dir=\"ltr\" role=\"presentation\">distribute the same to the members and proxies present at the meeting and, in case of joint <\/span><\/span><span id=\"page23R_mcid0\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">members, to the first named holder of their share or shares and in his absence to such joint holder <\/span><span dir=\"ltr\" role=\"presentation\">attending the meeting whose name appears next in the chronological order in their share;<\/span><\/span><span id=\"page23R_mcid1\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(b)<\/span><span dir=\"ltr\" role=\"presentation\">submit a report to the chairman in Form 6<\/span> <span dir=\"ltr\" role=\"presentation\">as set out in the Schedule to these rules.<\/span><\/span><span id=\"page23R_mcid2\" class=\"markedContent\"><\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span id=\"page23R_mcid2\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(12) A member which is a body corporate may, by resolution of its Board of directors or other governing body, <\/span><span dir=\"ltr\" role=\"presentation\">authorise such individual as it may deem fit to act as its representative at a general meeting, and the individual <\/span><span dir=\"ltr\" role=\"presentation\">so authorised shall be entitled to exercise on behalf of that body corporate the same rights and powers, <\/span><span dir=\"ltr\" role=\"presentation\">including the right to vote by proxy, as such body corporate may exercise if it were an individual member.<\/span><\/span><span id=\"page23R_mcid3\" class=\"markedContent\"><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">(13) The Central Government may authorise such official of the Central Government as it may deem fit to act <\/span><span dir=\"ltr\" role=\"presentation\">as its representative at a general meeting, and the official so authorised shall be entitled to exercise on behalf of <\/span><span dir=\"ltr\" role=\"presentation\">the Central Government the same rights and powers, including the right to vote by proxy, as the Central<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">Government may exercise if it were an individual member.<\/span><\/span><span id=\"page23R_mcid4\" class=\"markedContent\"><br role=\"presentation\" \/><\/span><span id=\"page23R_mcid6\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\"><br \/>\n<\/span><\/span><span id=\"page23R_mcid7\" class=\"markedContent\"><\/span><\/p>\n<ul>\n<li><span id=\"page23R_mcid7\" class=\"markedContent\"> <span dir=\"ltr\" role=\"presentation\">In the said rules, in the Schedule, Form 3 relating to Attendance Slip shall be inserted. <\/span><\/span><\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>The Central Government notifies Life Insurance Corporation of India
