The \u00a0provisions \u00a0of \u00a0this \u00a0circular \u00a0shall \u00a0come \u00a0into \u00a0effect \u00a0from November \u00a011, 2021.<\/p>\n<p style=\"text-align: justify;\">\n<p>KEY POINTS:<\/p>\n<p>&nbsp;<\/p>\n<ul>\n<li style=\"text-align: justify;\">The \u00a0 Merchant \u00a0 Banker \u00a0 shall \u00a0 independently \u00a0 exercise \u00a0 due \u00a0 diligence \u00a0 of \u00a0 all \u00a0 the disclosures \u00a0in \u00a0the \u00a0placement \u00a0memorandum, \u00a0satisfy itself with \u00a0respect \u00a0to \u00a0veracity and adequacy of the disclosures and provide a due diligence certificate. The format of due diligence certificate is given at <a href=\"https:\/\/www.sebi.gov.in\/legal\/circulars\/oct-2021\/modalities-for-filing-of-placement-memorandum-through-a-merchant-banker-under-sebi-alternative-investment-funds-regulations-2012_53379.html\">Annexure A<\/a>.<\/li>\n<li style=\"text-align: justify;\">While \u00a0filing draft placement \u00a0memorandum \u00a0at \u00a0the \u00a0time \u00a0of registration \u00a0or prior \u00a0to launch of new scheme on the SEBI intermediary portal, the due diligence certificate provided \u00a0 by \u00a0 the \u00a0 Merchant \u00a0 Banker \u00a0 shall \u00a0 also \u00a0 be \u00a0 submitted, \u00a0 along \u00a0 with \u00a0 other necessary documents.<\/li>\n<li style=\"text-align: justify;\">Details of the Merchant Banker shall be disclosed in the placement memorandum.<\/li>\n<li style=\"text-align: justify;\">Further, \u00a0in \u00a0terms \u00a0of paragraph \u00a04 \u00a0of SEBI \u00a0Circular \u00a0dated \u00a0April \u00a007, \u00a02021, AIFs \u00a0are required to \u00a0 \u00a0intimate SEBI \u00a0 \u00a0regarding any \u00a0 \u00a0changes \u00a0 \u00a0in \u00a0 terms \u00a0 \u00a0of \u00a0 placement memorandum \u00a0on \u00a0a \u00a0consolidated \u00a0basis, \u00a0within one month \u00a0of \u00a0the \u00a0end \u00a0of \u00a0each financial \u00a0year. Such intimation shall \u00a0also \u00a0be submitted \u00a0through \u00a0a Merchant \u00a0Banker, along \u00a0with the due \u00a0diligence \u00a0certificate provided by \u00a0the Merchant \u00a0Banker. The format \u00a0of \u00a0due \u00a0diligence \u00a0certificate \u00a0for intimating \u00a0the \u00a0changes \u00a0in \u00a0the placement memorandum is given at <a href=\"https:\/\/www.sebi.gov.in\/legal\/circulars\/oct-2021\/modalities-for-filing-of-placement-memorandum-through-a-merchant-banker-under-sebi-alternative-investment-funds-regulations-2012_53379.html\">Annexure B<\/a>.<\/li>\n<li style=\"text-align: justify;\">The \u00a0Merchant \u00a0Banker appointed \u00a0for \u00a0filing \u00a0of \u00a0placement \u00a0memorandum shall not be an associate of the AIF, its
