{"id":253120,"date":"2021-08-23T14:33:27","date_gmt":"2021-08-23T09:03:27","guid":{"rendered":"https:\/\/www.scconline.com\/blog\/?p=253120"},"modified":"2021-08-23T14:32:34","modified_gmt":"2021-08-23T09:02:34","slug":"us-illinois-governor-signs-restrictive-covenant-bill-into-law","status":"publish","type":"post","link":"https:\/\/www.scconline.com\/blog\/post\/2021\/08\/23\/us-illinois-governor-signs-restrictive-covenant-bill-into-law\/","title":{"rendered":"US-Illinois | Governor signs Restrictive Covenant Bill into Law"},"content":{"rendered":"<p style=\"text-align: justify;\">On August 13, 2021, Illinois Governor signed an amendment to the Illinois Freedom to Work Act (820 ILCS \u00a7 90), imposing restrictions on the use of non-competition and non-solicitation (employee and customer) restrictive covenants for Illinois employees.<\/p>\n<p style=\"text-align: justify;\">The law takes effect on January 1, 2022, and only applies to restrictive covenants entered into after January 1, 2022.<\/p>\n<p>&nbsp;<\/p>\n<h3 style=\"text-align: justify;\"><span style=\"color: #800000;\">Key highlights:<\/span><\/h3>\n<p style=\"text-align: justify;\">1. <span dir=\"ltr\" role=\"presentation\">In <\/span><span dir=\"ltr\" role=\"presentation\">determining the legitimate business interest of the employer, <\/span><span dir=\"ltr\" role=\"presentation\">the totality of the facts and circumstances of the individual <\/span><span dir=\"ltr\" role=\"presentation\">case shall be considered.\u00a0<\/span><\/p>\n<p style=\"text-align: justify;\">2. Prohibits<span dir=\"ltr\" role=\"presentation\"> employer to enter into a covenant not to compete <\/span><span dir=\"ltr\" role=\"presentation\">with<\/span> <span dir=\"ltr\" role=\"presentation\">any<\/span> <span dir=\"ltr\" role=\"presentation\">employee<\/span> <span dir=\"ltr\" role=\"presentation\">unless<\/span> <span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">employee&#8217;s<\/span> <span dir=\"ltr\" role=\"presentation\">actual<\/span> <span dir=\"ltr\" role=\"presentation\">or<\/span> <span dir=\"ltr\" role=\"presentation\">expected <\/span><span dir=\"ltr\" role=\"presentation\">annualized<\/span> <span dir=\"ltr\" role=\"presentation\">rate<\/span> <span dir=\"ltr\" role=\"presentation\">of<\/span> <span dir=\"ltr\" role=\"presentation\">earnings<\/span> <span dir=\"ltr\" role=\"presentation\">exceeds<\/span> <span dir=\"ltr\" role=\"presentation\">$75,000<\/span> <span dir=\"ltr\" role=\"presentation\">per<\/span> <span dir=\"ltr\" role=\"presentation\">year.<\/span><\/p>\n<p style=\"text-align: justify;\"><span dir=\"ltr\" role=\"presentation\">Note: This <\/span><span dir=\"ltr\" role=\"presentation\">amount shall increase to $80,000 per year beginning on January <\/span><span dir=\"ltr\" role=\"presentation\">1, 2027, $85,000 per year beginning on January 1, 2032, and <\/span><span dir=\"ltr\" role=\"presentation\">$90,000 per year beginning on January 1, 2037. A covenant not <\/span><span dir=\"ltr\" role=\"presentation\">to<\/span> <span dir=\"ltr\" role=\"presentation\">compete<\/span> <span dir=\"ltr\" role=\"presentation\">entered<\/span> <span dir=\"ltr\" role=\"presentation\">into<\/span> <span dir=\"ltr\" role=\"presentation\">in<\/span> <span dir=\"ltr\" role=\"presentation\">violation<\/span> <span dir=\"ltr\" role=\"presentation\">of<\/span> <span dir=\"ltr\" role=\"presentation\">this<\/span> <span dir=\"ltr\" role=\"presentation\">subsection<\/span> <span dir=\"ltr\" role=\"presentation\">is <\/span><span dir=\"ltr\" role=\"presentation\">void<\/span> <span dir=\"ltr\" role=\"presentation\">and<\/span> <span dir=\"ltr\" role=\"presentation\">unenforceable.<\/span><\/p>\n<p style=\"text-align: justify;\"><span dir=\"ltr\" role=\"presentation\">&#8220;Covenant not to compete&#8221; also means an agreement between <\/span><span dir=\"ltr\" role=\"presentation\">an employer and an employee, entered into after the effective <\/span><span dir=\"ltr\" role=\"presentation\">date<\/span> <span dir=\"ltr\" role=\"presentation\">of<\/span> <span dir=\"ltr\" role=\"presentation\">this<\/span> <span dir=\"ltr\" role=\"presentation\">amendatory<\/span> <span dir=\"ltr\" role=\"presentation\">Act<\/span> <span dir=\"ltr\" role=\"presentation\">of<\/span> <span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">102nd<\/span> <span dir=\"ltr\" role=\"presentation\">General<\/span> <span dir=\"ltr\" role=\"presentation\">Assembly, <\/span><span dir=\"ltr\" role=\"presentation\">that by its terms imposes adverse financial consequences on <\/span><span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">former<\/span> <span dir=\"ltr\" role=\"presentation\">employee<\/span> <span dir=\"ltr\" role=\"presentation\">if<\/span> <span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">employee<\/span> <span dir=\"ltr\" role=\"presentation\">engages<\/span> <span dir=\"ltr\" role=\"presentation\">in<\/span> <span dir=\"ltr\" role=\"presentation\">competitive <\/span><span dir=\"ltr\" role=\"presentation\">activities after the termination of the employee&#8217;s employment <\/span><span dir=\"ltr\" role=\"presentation\">with the employer.<\/span><\/p>\n<p style=\"text-align: justify;\">3. <span dir=\"ltr\" role=\"presentation\">A<\/span> <span dir=\"ltr\" role=\"presentation\">covenant<\/span> <span dir=\"ltr\" role=\"presentation\">not<\/span> <span dir=\"ltr\" role=\"presentation\">to<\/span> <span dir=\"ltr\" role=\"presentation\">compete<\/span> <span dir=\"ltr\" role=\"presentation\">or<\/span> <span dir=\"ltr\" role=\"presentation\">a <\/span><span dir=\"ltr\" role=\"presentation\">covenant<\/span> <span dir=\"ltr\" role=\"presentation\">not<\/span> <span dir=\"ltr\" role=\"presentation\">to<\/span> <span dir=\"ltr\" role=\"presentation\">solicit<\/span> <span dir=\"ltr\" role=\"presentation\">is<\/span> <span dir=\"ltr\" role=\"presentation\">illegal<\/span> <span dir=\"ltr\" role=\"presentation\">and<\/span> <span dir=\"ltr\" role=\"presentation\">void<\/span> <span dir=\"ltr\" role=\"presentation\">unless<\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span dir=\"ltr\" role=\"presentation\">(1)<\/span> <span dir=\"ltr\" role=\"presentation\">the employee receives adequate consideration, <\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span dir=\"ltr\" role=\"presentation\">(2) the covenant is ancillary to a valid employment relationship, <\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span dir=\"ltr\" role=\"presentation\">(3) the covenant is no greater than is required for the protection of a legitimate business interest of the employer, <\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span dir=\"ltr\" role=\"presentation\">(4) the covenant does not impose undue hardship on the employee, and <\/span><\/p>\n<p style=\"padding-left: 40px; text-align: justify;\"><span dir=\"ltr\" role=\"presentation\">(<\/span><span dir=\"ltr\" role=\"presentation\">5) the covenant is not injurious to the public.<\/span><\/p>\n<p style=\"text-align: justify;\">3. Employers must ensure to advise employees to consult with an attorney before entering into a non-compete or non-solicit agreement and must also provide employees at least 14 days to review the agreement and decide whether to sign. Employees have the option of signing the agreement before the 14-day period has ended.<\/p>\n<p style=\"text-align: justify;\">4. Employers are prohibited from entering into restrictive covenants with employees who have lost their jobs due to the COVID-19 pandemic or under circumstances that are similar to the COVID-19 pandemic unless enforcement of the covenant not to compete includes compensation equivalent to the employee\u2019s base salary at the time of termination for the period of enforcement minus compensation earned though subsequent employment during the period of enforcement.<\/p>\n<p style=\"text-align: justify;\">5. If an employee prevails on a claim filed by an employer seeking to enforce a covenant not to compete or a covenant not to solicit, the employee can recover all costs and reasonable attorney\u2019s fees from the employer regarding such claim. A court or arbitrator may also award appropriate relief.<\/p>\n<p style=\"text-align: justify;\">\n<p style=\"text-align: justify;\">\n","protected":false},"excerpt":{"rendered":"<p>On August 13,
