S<\/strong>ecurities and Exchange Board of India (Issue and Listing of Debt Securities)(Second Amendment) Regulations, 2017<\/strong><\/span><\/p>\n

N<\/strong>o<\/strong>. SEBI\/LAD-NRO\/GN\/2017-18\/023<\/strong>.? In \u00a0exercise of the powers conferred under Section 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India\u00a0 (Issue and Listing of Debt Securities) Regulations, 2008, namely,\u2013<\/p>\n

1.These\u00a0\u00a0 regulations\u00a0 \u00a0may \u00a0be \u00a0called\u00a0 the Securities and Exchange Board of India (Issue \u00a0and Listing of Debt Securities)(Second Amendment) Regulations, 2017.<\/p>\n

2. They shall come into force on the date of their publication in the Official Gazette.<\/p>\n

3. In the Securities \u00a0and Exchange \u00a0Board of India (Issue and Listing of Debt Securities) \u00a0Regulations, 2008, in sub-regulation (1) of Regulation (2), \u2014<\/p>\n

i. in clause (e), the existing definition of the term \u201cdebt securities\u201d shall be substituted with the following definition, namely \u2013<\/p>\n

\u201c(e) \u201cdebt securities\u201d \u00a0means non-convertible \u00a0debt securities\u00a0 which create or acknowledge indebtedness and includes debentures, bonds and such other securities of a body corporate or a Trust\u00a0 registered \u00a0with the Board \u00a0as a Real \u00a0Estate \u00a0Investment \u00a0Trust \u00a0or an Infrastructure Investment Trust, or any statutory body constituted by virtue of a legislation, whether constituting a charge on the assets of the body corporate or not, but excludes bonds issued by Government or such other bodies as may be specified by the Board, security receipts and securitized debt instruments;\u201d<\/p>\n

ii. in clause (g), after the words \u201crecognized\u00a0 stock exchange\u201d and before the symbol \u201c;\u201d, the following words \u201cand \u00a0includes \u00a0a \u00a0Trust \u00a0registered\u00a0\u00a0 with \u00a0the \u00a0Board \u00a0as \u00a0a \u00a0Real \u00a0Estate Investment Trust or an Infrastructure Investment Trust and whose units are listed \u00a0in recognized stock exchange(s)\u201d shall be inserted.<\/p>\n

1. The Securities and Exchange Board of India (Issue And Listing Of Debt Securities) Regulations, \u00a02008, were published in the Gazette of India on 6th June, 2008 vide No. LADNRO\/GN\/2008\/13\/127878.<\/p>\n

2.They were subsequently amended on \u2013<\/p>\n

(a) 12th October, 2012 by Securities \u00a0and Exchange \u00a0Board of India (Issue and Listing of Debt Securities) (Amendment) Regulations, 2012 vide No. LAD-NRO\/GN\/2012-13\/19\/5392.<\/p>\n

(b) 31st January, \u00a02014 by Securities \u00a0and Exchange \u00a0Board of India (Issue and Listing of Debt Securities) (Amendment) Regulations, 2014 vide No. LAD-NRO\/GN\/2013-14\/43\/207.<\/p>\n

(c) 23rd \u00a0May, \u00a02014 \u00a0by \u00a0Securities\u00a0 \u00a0and \u00a0Exchange\u00a0 \u00a0Board \u00a0of \u00a0India \u00a0(Payment\u00a0 \u00a0of \u00a0Fees) \u00a0(Amendment) Regulations, 2014 vide No. LAD-NRO\/GN\/2014-15\/03\/1089.<\/p>\n

(d) 24th March, \u00a02015 by Securities \u00a0and Exchange \u00a0Board of India\u00a0 (Issue and Listing \u00a0of Debt Securities) (Amendment) Regulations, 2015 vide No. LAD-NRO\/GN\/2014-15\/25\/539.<\/p>\n

(e) 2nd September, \u00a02015 by Securities \u00a0and Exchange \u00a0Board of India (Listing Obligations \u00a0and Disclosure Requirements) Regulations, 2015 vide No. SEBI\/LAD-NRO\/GN\/2015- 16\/013.<\/p>\n
